Range Impact, Inc. (OTCQB: [RNGE](https://aibio.space/companies/range-impact/)) issued unregistered common stock on September 30, 2026 to two counterparties, as part of agreements ending earlier option deals on land in Eastern Kentucky. The 8-K is dated September 30, 2026 and was signed on October 6, 2026 by Chief Executive Officer Michael Cavanaugh.

## The two terminated options

Range Bluegrass Land, LLC, a wholly owned indirect subsidiary, terminated an option agreement dated December 31, 2025 with MRR CNG, LLC. That option would have let MRR buy approximately 1,500 acres of property in Eastern Kentucky. In exchange for MRR entering the transition agreement, Range Impact issued 654,434 shares of common stock to MRR for $500,000. That price was deemed paid by a $500,000 option fee MRR had already paid to Range Bluegrass.

Range Bluegrass also terminated a Membership Interest Option and Cash Distribution Agreement dated December 31, 2025 with Wicks Building LLC. That agreement gave Wicks the right to receive the same amount as any cash distribution made by Range Bluegrass to its sole member or another affiliate. It also gave Wicks an option, exercisable at its sole discretion, to convert that cash distribution right into 50% of the membership interests of Range Bluegrass. Range Impact issued Wicks 654,434 shares for $500,000, also deemed paid by an earlier $500,000 option fee.

Both issuances were priced at $0.764 per share. The 8-K says that is the volume-weighted average price of the company's stock for all trades in September 2026. Each buyer therefore receives the same number of shares at the same price, and each $500,000 was settled by the option fee already paid.

## The consulting agreements

The company also terminated consulting agreements dated December 31, 2025 with MRR and with F & G, LLC. Fees already paid to the company under those agreements are deemed earned and not refundable. The 8-K does not state the amount of those fees.

## What the shares carry

The 8-K says the shares were not registered under the Securities Act of 1933 or any state law and were issued under an exemption from registration. Each buyer represented that it was acquiring the shares for its own account. The shares may not be resold without an effective registration statement or an available exemption. The filing names no underwriter, placement agent or financial adviser for either issuance, and it does not state the number of shares outstanding after the issuance.

## The company and its land

Range Impact was incorporated in Nevada in 2007 and has operated under several names. Its 10-K describes a strategy of acquiring and reclaiming mine sites and other undervalued land in Appalachia, with a focus on economically disadvantaged communities. Its business moved from a service model to a land ownership model beginning in early 2025.

The 10-K lists two large transactions. The Fola Mine Acquisition in March 2025 covered 120,154 acres of fee, surface and mineral interests in West Virginia, along with 15 mining permits and responsibility for 21 more, with an estimated total asset retirement obligation of $36.6 million. The Premier-Cambrian Acquisition in December 2025 covered 15,704 acres of surface land and 42,500 acres of mineral interests in Kentucky, with responsibility for 43 mining permits and an estimated total asset retirement obligation of $43.1 million. The company had 10 full-time employees as of March 30, 2026.

## The money

The XBRL figures show a net income of $19.2 million for 2025 and a net loss of $9.8 million for 2024. Cash provided by operations was $123,028 in 2025, against cash used in operations of $1.6 million in 2024. Cash and cash equivalents were $167,286 at the end of 2024, $2.1 million at the end of 2025 and $646,009 at June 30, 2026.

The 2025 net income and the 2025 operating cash flow are far apart, and the 8-K does not explain the difference. The 10-K presents the two asset retirement obligations as estimates, and the company assumed management and reclamation responsibilities for the permits behind them. The 8-K does not describe any new cash coming into the company from these transactions, because the share issuances settle option fees that were already paid.
