Q32 Bio Inc. entered into an underwriting agreement on July 14, 2026 for a public offering of common stock and pre-funded warrants. The company agreed to sell 6,027,399 shares at a public offering price of $18.25 per share, and pre-funded warrants to purchase up to 4,931,506 shares at $18.2499 per warrant. The offering is expected to close on July 16, 2026, subject to customary closing conditions.

## The underwriters and the option

Morgan Stanley & Co. LLC, Jefferies LLC, Cantor Fitzgerald & Co. and Oppenheimer & Co. Inc. are the representatives of the several underwriters named in the agreement. The company granted the underwriters a 30-day option to buy up to an additional 1,643,835 shares at the public offering price, less underwriting discounts and commissions. The company sold all of the firm shares and pre-funded warrants in the offering.

## Proceeds and use

The company estimates net proceeds of approximately $187.6 million after underwriting discounts, commissions and estimated offering expenses. If the underwriters exercise their option in full, the company estimates net proceeds of approximately $215.8 million. The company intends to use the net proceeds for working capital, including expenses related to research, clinical development and commercialization, and to support the advancement of bempikibart into future clinical trials.

## The pre-funded warrants

Each pre-funded warrant is exercisable for one share of common stock at an exercise price of $0.0001 per share, or through a cashless exercise under a formula set out in each warrant. The warrants can be exercised at any time after issuance and expire when exercised in full. A holder may not exercise a warrant if, with its affiliates, it would beneficially own more than 4.99% or 9.99% of the outstanding common stock after the exercise. The holder may change that limit to any other percentage up to 19.99% on 61 days' prior notice. The company does not intend to list the pre-funded warrants on any exchange or trading system.

## Registration and legal matters

The offering was made under a shelf registration statement on Form S-3, File No. 333-297027, which was first filed with the SEC on June 25, 2026 and declared effective on July 13, 2026. A final prospectus supplement is dated July 14, 2026. Goodwin Procter LLP provided its opinion on the legality of the shares, pre-funded warrants and pre-funded warrant shares, filed as Exhibit 5.1. The underwriting agreement is filed as Exhibit 1.1.

## What the raise means for shareholders

The offering creates 6,027,399 new shares and pre-funded warrants over 4,931,506 more, with an option for 1,643,835 further shares. Existing holders are diluted by all of it once the warrants are exercised, and exercise costs the holder only $0.0001 a share. The company says the money goes to working capital and to support bempikibart's advance into future clinical trials, but the filing names no specific trial it will fund and gives no efficacy data.
