Profusa, Inc. (Nasdaq: [PFSA](https://aibio.space/companies/profusa/)) reported its second-quarter 2026 results on August 20, 2026, and gave an update on the conditions it must meet before it can exercise an option to acquire G3 Vision Labs, Inc. The release, filed with the SEC as [Exhibit 99.1 to a Form 8-K](https://www.sec.gov/Archives/edgar/data/1859807/000121390026091905/ea030281201ex99-1.htm), reported cash on hand of $719,000 at June 30, 2026, and a stockholders' deficit of $27.1 million at the same date.

## The option and its conditions

Under the option agreement, Profusa has the right, but not the obligation, to acquire G3 Vision Labs, Inc. and its subsidiaries, subject to certain conditions. The release describes G3 as a provider of laboratory testing solutions. Its CLIA-certified and CAP/CLIA accredited national medical laboratories provide molecular diagnostic tests for infectious disease and urine and blood clinical toxicology testing, with clients among addiction treatment, pain management and behavioral health providers. If the option is exercised, Profusa says the combined company is expected to operate as a public diagnostics company with recurring revenues from that client base.

The company listed several steps it has taken. The Certificate of Designation for its Non-Voting Series A Convertible Preferred Stock is now in effect. Debt and liability holders have executed $10.7 million of Series A Convertible Exchange Agreements, and $4,570,298 of that amount was exchanged for 4,271.298 shares of Series A Convertible Preferred Stock. Profusa also borrowed $650,000 under its current note agreement to fund near-term working capital needs.

The release says the 4:1 reverse stock split, effective August 18, 2026, and the execution of the option agreement have been supportive of meeting Nasdaq's minimum listing requirements. G3's auditors are finalizing audits of the 2024 and 2025 financial statements. Profusa expects audited statements for most of G3's business entities by the end of August, and for the entire business by mid-September.

## Second-quarter results

Total assets were $1.0 million at June 30, 2026. Current liabilities and total liabilities were $28.2 million. Profusa reported a net loss of $8.8 million for the three months ended June 30, 2026, compared with $2.3 million for the same period in 2025. For the six months, the net loss was $12.2 million, compared with $5.1 million a year earlier.

Jack Stover, Executive Chairman and CEO, said in the release: "I am very pleased with the timely progress we are making and support we are receiving towards executing the Option to acquire G3," and the company reiterated that it expects stockholders' equity of $28.4 million as of July 31, 2026. The release attributes that swing from a $27.1 million deficit to executing the Option Agreement, not to operating results, and it does not say how the figure is built. The Nasdaq statement is also the company's own view; the release does not report any Nasdaq decision.

## Annual figures

The [XBRL financial data](https://www.sec.gov/Archives/edgar/data/1859807/000121390026044046/) for Profusa's 10-K, filed April 15, 2026, show a net loss of $35.8 million for 2025, against $9.2 million for 2024. Research and development expense rose to $2.8 million in 2025 from $1.6 million in 2024. Cash from operations was negative $16.2 million in 2025, compared with negative $2.1 million in 2024. Year-end cash and cash equivalents were $1.8 million at the end of 2025 and $191,000 at the end of 2024. Revenue for 2024 was $100,000.

## The risks ahead

Profusa still has to turn an option into a completed deal. The company says it expects audited statements for the entire G3 business by mid-September, and the release lists the risk that Profusa does not receive stockholder approval. Cash on hand was $719,000 at June 30, 2026, against negative cash from operations of $16.2 million in 2025, and Profusa borrowed $650,000 to fund near-term working capital. The release also names the dilutive effect of the common and preferred stock issued as consideration, and the risk that G3's indebtedness is not refinanced, repaid or otherwise satisfied on acceptable terms or at all.
