# Processa Pharmaceuticals gets second 180-day Nasdaq period to fix bid price

Tickers [PCSA](https://aibio.space/companies/processa-pharmaceuticals/)

Nasdaq has given Processa until February 2, 2026 to bring its share price back to at least $1, a second 180-day period. The company says it will consider a reverse stock split, and the filing gives no recent share price to show how far it is from the threshold.

Processa Pharmaceuticals, Inc. (Nasdaq Capital Market: [PCSA](https://aibio.space/companies/processa-pharmaceuticals/)) said in an [8-K](https://www.sec.gov/Archives/edgar/data/1533743/000149315225011775/form8-k.htm) filed August 8, 2025 that Nasdaq staff granted it a second 180-day period, until February 2, 2026, to regain compliance with the minimum bid price rule. The letter came on August 7, 2025. The rule, Nasdaq Listing Rule 5550(a)(2), requires a closing bid price of at least $1.00 per share for continued listing on The Nasdaq Capital Market.

The company had received an earlier notice, which it disclosed in an 8-K on February 4, 2025. That notice said the bid price had closed below $1.00 for the previous 30 consecutive business days.

## What the letter requires

To regain compliance, the closing bid price must be at least $1 per share for a minimum of 10 consecutive business days during the second period. If that happens, Nasdaq will confirm compliance in writing. The 8-K does not say what the company's price was on August 7 or on any day since the February notice, so a reader cannot measure the gap to $1 from this filing.

The letter has no immediate effect on the listing. The common stock continues to trade on The Nasdaq Capital Market, subject to the company meeting the other continued listing requirements of that market. The filing does not describe what Nasdaq would do if the bid price is still below $1 on February 2, 2026.

The company says it will consider implementing a reverse stock split to regain compliance. A reverse split combines existing shares into fewer shares, which raises the price of each one, and the filing describes the split as an option rather than a decision.

## Why Nasdaq granted more time

According to the 8-K, the staff based its decision on two points. The first is that Processa meets the continued listing requirement for the market value of its publicly held shares and all other Nasdaq initial listing standards, with the bid price the only exception. The second is the company's written notice that it intends to cure the deficiency during the second period by effecting a reverse stock split, if necessary.

The staff therefore relied on the company's stated intention to use a reverse split if needed. The 8-K says only that the company will consider one, and it gives no timetable for a shareholder vote or a split ratio.

The business section of the 2024 annual report, filed March 20, 2025, describes Processa as a clinical-stage biopharmaceutical company developing a pipeline of Next Generation Cancer therapy small molecules. Two of them are in or have completed Phase 2 trials. The report says the company has also begun evaluating options to monetize two non-oncology assets, including out-licensing or partnering. The business section gives no cash balance or net loss figure, so it does not show how long the company can fund trials while it works through the listing deadline.

## What the filing leaves out

The 8-K is a notice of a regulatory deadline, not a financial report. It does not state the company's share count after any split, its cash position, or the date of any shareholder meeting that would approve one. It also gives no closing price for the period after the February notice.

The filing does not say whether the company plans to raise capital during the second period, or how the February 2, 2026 deadline fits with any financing.
