Pharming's subsidiary now controls 92.70 percent of Abliva through its SEK 0.45 cash offer, and it has extended the acceptance period to March 6, 2025 for holders who have not yet tendered. Pharming plans a compulsory acquisition of the rest and a delisting from Nasdaq Stockholm.

Pharming Group N.V. (EURONEXT Amsterdam: PHARM; Nasdaq: PHAR) said on February 20, 2025, in a [6-K](https://www.sec.gov/Archives/edgar/data/1828316/000182831625000008/pharmingtechnologiesbvincr.htm) furnished to the Securities and Exchange Commission, that its wholly-owned subsidiary Pharming Technologies B.V. now controls 1,494,181,625 shares and votes in Abliva AB (publ). That is approximately 92.70 percent of the total, based on 1,611,884,536 issued Abliva shares.

The stake came from a recommended cash offer announced on December 15, 2024 at SEK 0.45 per Abliva share. An offer document followed on January 15, 2025. Pharming declared the offer unconditional on February 7, 2025, and extended the acceptance period to February 20, 2025.

The release names Van Lanschot Kempen N.V. as sole financial adviser to Pharming on the offer. NautaDutilh N.V. and Mannheimer Swartling Advokatbyrå are its legal advisers.

## How the stake was built

At the end of the initial acceptance period on February 7, 2025, holders of 1,413,841,472 shares, or approximately 87.71 percent, had accepted. Another 47,327,703 shares, about 2.94 percent, were tendered during the extended period. Pharming also bought 33,012,450 shares, about 2.05 percent, outside the offer after February 7. The release says no shares were acquired at a price above the offer price.

The 92.70 percent figure is therefore built from three sources: the initial acceptances, the extended tenders and purchases outside the offer, none of them above the offer price. The release does not say how many holders are left or what proportion of the remaining shares they hold.

## What happens to the holdouts

To let shareholders who have not tendered accept, Pharming extended the acceptance period until March 6, 2025 at 15:00 CET. Settlement for shares tendered in that window is expected to start on or around March 12, 2025. Holders who already tendered need take no further action.

Pharming then intends to start a compulsory acquisition procedure for the remaining Abliva shares under the Swedish Companies Act. It says it will also act in furtherance of a delisting of Abliva shares from Nasdaq Stockholm. The release does not give a date for either step, and it does not state the price a compulsory acquisition would pay.

The release is marked as inside information under the EU Market Abuse Regulation, and it was published in Swedish and English. The Swedish version prevails if the two differ.

## What the release leaves out

The 6-K describes the offer and the stake, but it does not describe Abliva's pipeline, its finances or the value Pharming sees in the rest of the company. The offer price of SEK 0.45 is the only valuation the release gives for any Abliva share, and it was set in December 2024, before the initial acceptance period ended.

For Pharming, the release describes a parent that holds most of a Swedish listed subsidiary after a single cash offer, and now intends to take the remaining shares private. The filing does not say how the remaining holders will be treated if they do not accept, beyond the compulsory acquisition procedure it names.

The release describes Pharming as a rare disease company with protein replacement therapies and precision medicines. It is headquartered in Leiden, the Netherlands, and says it serves patients in over 30 markets. For further information, the release points to Michael Levitan, vice president of investor relations and corporate communications. It gives no revenue, cash or net loss figures for either company, so the cost of the offer cannot be measured against Pharming's own finances from this document.
