PharmaCyte Biotech, Inc. told the Securities and Exchange Commission on July 29, 2025 that it could not file its annual report on Form 10-K for the fiscal year ended April 30, 2025 by the due date of July 29, 2025.

A Form 12b-25, often called an NT filing, tells the SEC that a periodic report will be late. Filing it on time gives a company a short grace period under Rule 12b-25(b). For an annual report, the grace period is fifteen calendar days after the original due date.

PharmaCyte said it needs additional time to prepare and review its financial statements "to ensure adequate disclosure of the financial information required to be included in the Form 10-K." It said the delay could not be eliminated without unreasonable effort and expense.

The company said it will file the report no later than the fifteenth calendar day after the due date. It said it has filed all other required periodic reports during the preceding 12 months.
