Palisade Bio, Inc. (Nasdaq: [PALI](https://aibio.space/companies/palisade-bio/)) agreed on July 23, 2025 to cut the exercise price on 4,318,905 outstanding warrants to $0.9047 per share, in exchange for the holder exercising all of them for cash. The company expects gross proceeds of approximately $3.9 million, excluding closing costs and placement agent fees, according to a [Form 8-K filed July 25, 2025](https://www.sec.gov/Archives/edgar/data/1357459/000164117225020896/form8-k.htm). The deal is an inducement transaction, meaning the company offers new terms to get existing warrant holders to exercise.

## The terms

Palisade signed a warrant inducement agreement with one accredited and institutional holder of its common stock purchase warrants. The warrants were originally issued on May 10, 2022, February 1, 2024, May 6, 2024 and December 13, 2024. The holder is exercising 3,000 July 2022 warrants, 114,354 February 2024 warrants, 922,863 May 2024 warrants and 3,278,688 December 2024 warrants, which the filing says are all of its existing warrants. Palisade will issue 4,318,905 shares of common stock as a result. The shares were already registered on Form S-1 or Form S-3 registration statements, and closing is expected on or about July 25, 2025, subject to customary conditions.

A [press release](https://www.sec.gov/Archives/edgar/data/1357459/000164117225020896/ex99-1.htm) attached to the filing says the existing warrants had adjusted exercise prices of $1.40.

## The new warrant

In return for exercising, the holder receives one unregistered new warrant covering 200% of the shares issued on exercise. That is up to 8,637,810 shares of common stock, at an exercise price of $0.9047 per share. The new warrant becomes exercisable on the effective date of stockholder approval of the share issuance and runs for five years from that date. The filing says it has standard anti-dilution provisions but no price protection for future securities offerings.

Palisade agreed to hold a stockholder meeting no later than 60 days after July 23, 2025 to seek that approval, as Nasdaq rules require. If approval is not obtained, the company will call another meeting every 60 days until it is, or until the new warrants are no longer outstanding. The company also agreed to file a resale registration statement for the shares underlying the new warrant within 30 days of July 23, 2025, and to use commercially reasonable efforts to have it declared effective within 60 days of filing. It must pay liquidated damages if those shares are not registered for resale or if it fails to remove the restrictive legend on time.

## Limits on other deals

For 30 trading days after July 23, 2025, Palisade agreed not to sign another warrant inducement agreement with better terms for another holder. For 30 days, it also agreed not to issue or announce any common stock or common stock equivalents, or file other registration statements, apart from the one covering the new warrant shares.

## Placement agent

Ladenburg Thalmann & Co., Inc. acted as placement agent. Palisade agreed to pay it a cash fee of 8% of gross proceeds and a management fee of 1% of gross proceeds. It will also receive a placement agent warrant for 6% of the shares issued on exercise of the existing warrants, with an exercise price of $1.4928 and a term of five years, plus up to $75,000 of out-of-pocket expenses.

The company says it intends to use the net proceeds for working capital and general corporate purposes. The cash comes at a price: the existing warrants had adjusted exercise prices of $1.40, and the single holder gets new warrants covering twice as many shares as it exercises. The 8-K gives no figure for Palisade's cash or losses.

## About the company
