Palisade Bio, Inc. received a notice from The Nasdaq Stock Market LLC on April 30, 2025. The notice said the company's common stock had closed below the $1.00 minimum bid price for 30 consecutive trading days before the notice. The company disclosed it in an [8-K](https://www.sec.gov/Archives/edgar/data/1357459/000164117225008346/form8-k.htm) filed May 2, 2025, under Item 3.01 of the form, which covers failure to satisfy a continued listing rule.

The notice has no effect on the listing for now. The stock continues to trade on The Nasdaq Capital Market under the symbol PALI. The filing does not give the share price on the notice date or the closing bid prices in the 30 days before it.

## The clock and the options

Under Nasdaq Listing Rule 5810(c)(3)(A), the company has 180 calendar days from the notice to regain compliance. It regains compliance if its closing bid price is at least $1.00 for a minimum of 10 consecutive business days during that period.

If it has not regained compliance by the end of that period, it may receive an additional 180 calendar days. That depends on the company meeting the market value of publicly held shares requirement and all other initial listing standards except the bid price on the last day of the first period. It also has to indicate its intent to cure the deficiency. If the company does not regain compliance by the end of the compliance periods, its common stock will be subject to delisting.

The filing says the company intends to monitor its closing bid price and may, if appropriate, consider available options to regain compliance. It does not name any option, and it does not mention a reverse stock split.

## The company and its lead candidate

The annual report filed March 24, 2025 describes Palisade Bio as a clinical-stage biopharmaceutical company developing therapeutics for autoimmune, inflammatory and fibrotic diseases. Its lead product candidate, PALI-2108, is being developed for inflammatory bowel disease, including ulcerative colitis and fibrostenotic Crohn's disease. The filing describes PALI-2108 as a locally bioactivated PDE4 inhibitor. The company says that design is meant to avoid what it calls the known tolerability issues of PDE4 inhibitors.

The efficacy evidence the business section cites is preclinical. In ulcerative colitis mouse models, the company reports dose-dependent efficacy. For fibrostenotic Crohn's disease, it cites a mouse model of intestinal fibrosis and a bioinformatics analysis of colon biopsy gene expression data. The company says that analysis shows a dose-dependent modulation of 187 genes across four fibrotic pathways in IBD. None of those results is a clinical outcome.

The Phase 1 study is described as a single-center, randomized, double-blinded, placebo-controlled study focused on safety, tolerability and pharmacokinetics. It includes healthy volunteers and ulcerative colitis patients. The company plans to enroll about 90 subjects across several arms: five single ascending dose cohorts with a crossover to test food effects, at least three multiple ascending dose cohorts, and at least one multiple-dose cohort of ulcerative colitis patients. The filing describes the pharmacodynamic work in healthy volunteers as part of the same study.

## Money and what remains open

The 8-K gives no cash, loss, debt or funding figures. For a company whose lead candidate is in Phase 1, the absence of those numbers in the notice matters.

The company's own plan is to monitor the bid price and consider options. The 8-K sets no date for any decision beyond the compliance periods, and it does not say how the company would pay for the Phase 1 study or any later trial.

Palisade's principal executive offices are at 7750 El Camino Real in Carlsbad, California. Its common stock, par value $0.01 per share, is listed on The Nasdaq Capital Market.
