Pacira BioSciences said in a Form 8-K filed July 10, 2025, that it carried out a workforce reduction on July 9, 2025, at its Science Center Campus in San Diego. The cut affects 71 employees, or about 8% of the company's total workforce. The company ties the reduction to efficiency gains in making EXPAREL, bupivacaine liposome injectable suspension, and to its decision to decommission the 45-liter manufacturing suite in San Diego.

The filing puts the reduction in the context of Pacira's manufacturing history. It says the company made the change after investing in two large batch suites of more than 200 liters, one in San Diego and one in Swindon, United Kingdom. According to the company, those suites can produce bulk EXPAREL volumes about four times the first-generation 45-liter batch process. Pacira says the larger suites give ample capacity for growing demand and improve gross margins through a lower cost structure and better yields.

The memo the company sent to staff on July 10 gives a different headcount. It says the reduction affects "approximately 70 colleagues" across the Technical Operations team, while the 8-K says 71. The memo, signed by Chief Executive Officer Frank D. Lee, says the 45-liter facility had reached the end of its lifecycle after manufacturing EXPAREL commercial supply since 2014.

## The charges and the savings

Pacira expects pre-tax charges of about $2.4 million to $2.8 million, to be recognized in its third quarter 2025 results. The charges are for employee termination benefits, including garden leave, severance and healthcare, plus smaller one-time costs. The company says all of these charges are cash based. It also expects $5.4 million of accelerated depreciation, which is a non-cash charge tied to the decommissioned suite.

The company expects the majority of the charges to fall in the third quarter. It says the reduction is anticipated to lower annual operating expenses by about $13 million, and it notes that this figure does not include the cost of carrying out the reduction. The filing adds that Pacira may incur other charges or cash expenditures it has not contemplated because of unanticipated events. The filing also says the reduction is subject to local regulatory requirements.

## Why the cost matters

The 10-K for 2024 shows how concentrated the company's revenue is. Three wholesalers each accounted for 10% or more of total revenue in 2024: McKesson Drug Company with 34%, Cardinal Health with 23% and AmerisourceBergen Health Corporation with 20%. The wholesalers process EXPAREL orders under a drop-ship program, so the product goes directly to end users.

The 10-K also says the NOPAIN Act took effect in January 2025, which provides separate reimbursement for qualifying non-opioids such as EXPAREL when they are given during outpatient surgery. The company describes the change as a significant policy advancement. It also says it cannot guarantee it will win enough hospital pharmacy and therapeutics committee approvals quickly enough to raise hospital sales of EXPAREL.

Pacira manufactures EXPAREL and its iovera handpieces at the San Diego facility, which the company says covers about 195,000 square feet across three buildings that make up the Science Center Campus. The 10-K also says the company agreed in February 2025 to buy the 81% of GQ Bio that it did not already own.

## What the filings leave open

The 8-K does not say which roles are affected, beyond the reference to the Technical Operations team in the memo, or whether any of the affected staff are based in Swindon. It also gives no figure for how much of the $13 million in annual savings comes from payroll.

The memo says the facility "has reached the end of its lifecycle," but the filing does not say how much capacity the company loses by shutting it or whether the Swindon suite will be expanded to cover it. The memo says Lee planned to meet staff at the Science Center Campus the following week to answer questions. The filings do not describe what was said at those meetings.
