Outlook Therapeutics, Inc. (Nasdaq: [OTLK](https://aibio.space/companies/outlook-therapeutics/)) is defending a securities class action in the U.S. District Court for the District of New Jersey over its statements about the biologics license application for LYTENAVA, according to its [10-Q filed Aug 18, 2026](https://www.sec.gov/Archives/edgar/data/1649989/000110465926098415/otlk-20260630x10q.htm). Plaintiffs filed a third amended complaint in February 2026 and a revised version in April 2026. A shareholder derivative suit in Delaware is stayed.

The class action was filed on Nov. 3, 2023 against Outlook and certain of its officers. The 10-Q gives no case number and does not name the officers. The derivative suit was filed on Oct. 10, 2024 in the U.S. District Court for the District of Delaware against certain officers and directors.

## The case

The class action complaint alleges violations of the Exchange Act in connection with allegedly false and misleading statements about the company's BLA between Aug. 3, 2021 and Aug. 29, 2023. It alleges Outlook violated Sections 10(b) and 20(a) and SEC Rule 10b-5 by failing to disclose a supposed lack of evidence supporting LYTENAVA as a treatment for wet AMD, and deficient chemistry, manufacturing and controls at the company or its manufacturing partner that remained unresolved when the BLA was resubmitted. Plaintiffs claim the FDA was therefore unlikely to approve the BLA and that the stock price fell when this came out. They seek damages, interest, costs and attorneys' fees.

The derivative complaint alleges the defendants breached their fiduciary duties by causing or allowing the company to violate federal securities laws, based on the same alleged misstatements. It also alleges a violation of Section 14(a) of the Exchange Act and asserts claims for contribution, unjust enrichment and waste of corporate assets. It seeks unspecified damages, governance reforms, restitution, contribution and fees.

## Defendants

Outlook is the named defendant in the class action, along with certain officers whom the 10-Q does not name. Outlook's 10-K signed Dec. 23, 2021 listed C. Russell Trenary III as president and chief executive officer and Lawrence A. Kenyon as chief financial officer. No filing says either is a defendant.

The 10-Q also does not list the derivative defendants. When that suit was filed, Outlook's board included Trenary, then president and chief executive officer. He stepped down from both roles on Dec. 3, 2024, when Kenyon became interim chief executive and the board cut its size to nine, according to an [8-K filed Dec. 4, 2024](https://www.sec.gov/Archives/edgar/data/1649989/000110465924125350/tm2430072d1_8k.htm). The nine directors who signed the 10-K on Dec. 27, 2024 were Ralph H. Thurman (executive chairman), Kenyon, Yezan Haddadin, Kurt J. Hilzinger, Julia A. Haller, Faisal G. Sukhtian, Julian Gangolli, Gerd Auffarth and Andong Huang. No filing says any of them is a defendant.

## Where it stands

On Dec. 23, 2025, the court dismissed plaintiffs' second amended complaint in part with prejudice and in part with leave to amend. Plaintiffs then filed the third amended complaint in February 2026 and the revised one in April 2026. The derivative action is stayed pending final resolution of the class action.

## Why it matters to shareholders

Outlook says it cannot estimate the possible cost of these matters because the lawsuits are at an early stage. It says the amounts could be material to its financial statements, even if it prevails, and that it has not established any reserve. The 10-Q does not mention insurance coverage for the suits.

The suits come as Outlook reports substantial doubt about its ability to continue as a going concern. It had $11.2 million in cash and cash equivalents on June 30, 2026 and said that cash plus $51.1 million in net proceeds from its August 2026 offering would fund operations only into the second quarter of calendar year 2027. It says defending the lawsuits could require significant resources and that it may incur substantial legal fees.
