OS Therapies Incorporated (NYSE American: [OSTX](https://aibio.space/companies/os-therapies/)) told the Securities and Exchange Commission that it will not file its quarterly report on time. The company filed a Form 12b-25 notice, known as an NT 10-Q, for the quarter ended June 30, 2025. The Form 10-Q was due August 14, 2025, and the company expects to file it within the five-calendar-day extension that Rule 12b-25 allows. The notice is dated August 14, 2025 and was filed on August 15. Paul Romness, its chief executive officer, signed it.

An NT 10-Q is a notice a public company files when it needs more time to finish a quarterly report. The rule allows a short grace period if the company explains the delay and checks the required boxes. The notice does not report any results for the quarter.

## The reason for the delay

The company says it cannot file the report without unreasonable effort or expense. It cites delays in compiling and reviewing information for the quarterly report, resulting primarily from the extra time needed to complete its financial statement close. That is the period-end accounting work that has to be finished before financial statements can be final. The notice does not say what slowed the close, and it does not mention an accounting error or a restatement.

The company answered yes when asked whether all other periodic reports required over the past 12 months had been filed. It answered no when asked whether it expects a significant change in results from the same period a year earlier.

## What the last annual report shows

The company's annual report on Form 10-K, filed March 31, 2025 for fiscal 2024, says its independent registered public accounting firm has expressed substantial doubt about its ability to continue as a going concern. The auditor based that view on recurring losses from operations and a net capital deficiency. The financial statements do not include any adjustments for that uncertainty.

The same report says the company had cash of $5,533,527 as of December 31, 2024. It says its operations depend on obtaining additional capital, and that it was seeking to raise equity through a public or private financing, with no assurance that it would succeed. It also says it has financed its operations mainly through the sale of common stock in its initial public offering and through convertible notes.

## The lead program

The lead candidate is OST-HER2, also known as OST31-164. The annual report describes it as an off-the-shelf immunotherapy made from a genetically weakened strain of Listeria monocytogenes, modified to express three HER2 protein epitopes. The FDA has granted it orphan drug designation, rare pediatric disease designation in August 2021 and fast track designation. The company submitted a request for breakthrough therapy designation in May 2024.

The key data come from a Phase IIb trial that began in July 2021. The company announced on January 15, 2025 that the trial met its primary endpoint with statistical significance. The primary measure compared the share of patients who had event-free survival over the follow-up period with a historical control group drawn from published U.S. literature, not with patients treated at the same time. Responders made up 33% of treated patients, compared with 20% in the published control. Survival at 12 months was 91% in treated patients and 80% in the control. At 24 months it was 61% and 40%.

The comparison relies on published records, not a concurrent control group, so the gap between the two groups can reflect differences between the trial patients and the published ones as well as the drug. The three-year overall survival comparison will be assessed every three months over the course of three years.

## What comes next

The company expects to file the late 10-Q within the five-day extension. The notice gives no date for any financing. The annual report says the company plans to expand OST-HER2 into other solid tumors, including breast, esophageal and lung cancers, and to consider licensing it to animal health companies for use in dogs. Its OST-tADC platform is aimed at ovarian, lung and pancreatic cancers. The company says it will need to raise additional capital to fund its future operations.
