OS Therapies Incorporated has told the Securities and Exchange Commission that it will not file its quarterly report on Form 10-Q for the quarter ended June 30, 2025, by the original due date of August 14, 2025. The company filed a [notification of late filing](https://www.sec.gov/Archives/edgar/data/1795091/000121390025076873/ea0253375-nt10q_osthera.htm) on Form 12b-25 on August 15, 2025. The notice is dated August 14, 2025, and is signed by Chief Executive Officer Paul Romness. It lists the company's principal executive office in Grasonville, Maryland.

## Why the report is late

The company says it could not file the report by the due date without unreasonable effort or expense. It attributes the delay mainly to the time it needed to complete its financial statement close process, along with delays in compiling and reviewing certain information in the report. The company expects to file within the extension period of five calendar days allowed under Rule 12b-25 of the Securities Exchange Act of 1934.

The notice answers two other questions. It says all other periodic reports required over the preceding 12 months have been filed. It also says the company does not expect a significant change in results of operations from the same period last year to appear in the quarterly report. The notice gives no revenue, loss, cash or debt figures for the quarter, so that answer cannot be checked against any number.

The notice does not say whether the close delay relates to any accounting question, and it does not explain why the close took longer than the due date allowed.

## The business behind the filing

The company's annual report, filed March 31, 2025, describes OS Therapies as a clinical-stage biopharmaceutical company focused on osteosarcoma and other solid tumors. Its most advanced product, OST-HER2, is an off-the-shelf immunotherapy made from a genetically weakened and modified strain of Listeria monocytogenes that expresses HER2 peptides. The filing says the company has received orphan drug designation for OST-HER2 in the United States, and rare pediatric disease designation in August 2021. It also says the company previously received fast track designation, and that it submitted a request to the FDA for breakthrough therapy designation in May 2024. The filing does not report an FDA decision on that request.

The filing itself notes that FDA designations "do not convey any advantages or shorten the duration of the regulatory review or approval process." Orphan designation can give market exclusivity to a product that is first to be approved for the designated indication, but only if approval comes. The filing puts new osteosarcoma cases at about 1,000 individuals a year in the United States.

The clinical case rests on the company's reading of the disease. The filing cites two journal studies, dated January 2005 and February 2009, which report that recurrence or metastasis happens in about half of patients within 12 to 18 months after initial remission. For patients who relapse, the same studies report survival of about 13% over the next year.

The company also says it is not aware of any competing adjuvant therapy for osteosarcoma in children that is further along than OST-HER2, and that no new treatments have been approved by the FDA for osteosarcoma in more than 40 years. Those are the company's own beliefs.

## The second platform and what comes next

The second platform is OST-tADC, a tunable drug conjugate that the filing describes as currently in preclinical development. Its lead program targets folate receptor alpha, a protein overexpressed in ovarian and endometrial cancers.

The company's next step is the Form 10-Q, which it expects to file within the five-day extension. The notice does not give a date beyond that window, and it does not say whether the company expects any change in its cash position for the quarter.

The quarter's cash, losses and debt remain unreported. The notice's only statement on results is that it expects no significant change from the same period last year, and it gives no figure to support that.
