## The repurchase agreements

Omeros Corporation (Nasdaq: [OMER](https://aibio.space/companies/omeros/)) entered into privately negotiated agreements on June 17, 2026 with certain holders of its 9.50% Convertible Senior Notes due 2029. Under them, the company agreed to repurchase notes with an aggregate principal amount of up to about $16.0 million. The total purchase price, inclusive of accrued and unpaid interest and all other obligations, is up to about $34.0 million. The 8-K does not split that figure between principal, interest and other obligations.

The price is not fixed. It is subject to adjustment based on the trading price of Omeros common stock during an averaging period that began on June 18, 2026. The company expects the repurchases to close between July 6, 2026 and July 16, 2026, after the averaging period ends. The agreements are subject to customary closing conditions.

If the full $16.0 million is repurchased, about $54.8 million of principal will remain outstanding. The 8-K does not describe how the company will fund the purchases, and it names no source of new cash.

## Who is named

The 8-K does not name the holders, any placement agent or advisor, or any legal counsel. It is signed by Gregory A. Demopulos, M.D., the company's president, chief executive officer and chairman. The filing is a Form 8-K dated June 17, 2026 under Item 8.01, and the company is a Washington corporation based in Seattle.

## The business behind the notes

Omeros describes itself as a commercial-stage biotechnology company focused on complement-mediated diseases. Its approved product is YARTEMLEA (narsoplimab-wuug), which the FDA approved on December 23, 2025 for hematopoietic stem cell transplant-associated thrombotic microangiopathy in adults and in children two years and older. Commercial sales began in January 2026. The company says YARTEMLEA carries no boxed warning and no Risk Evaluation and Mitigation Strategy, but the annual report passage cited here gives no sales figures for it. A marketing authorization application in the European Union is under review by the European Medicines Agency.

The company sold its lead investigational MASP-3 inhibitor, zaltenibart, to Novo Nordisk Healthcare AG under an asset purchase and license agreement that closed on November 25, 2025. The company received an upfront payment of $240.0 million. It is eligible for up to $510.0 million in development and approval milestones and up to $1.3 billion in sales milestones, plus tiered royalties. Those payments depend on Novo Nordisk's progress and sales, which the company does not control. The company kept rights to a separate small-molecule MASP-3 program.

## Losses, cash and the balance sheet

Research and development expense was $81.3 million in 2025, down from $119.5 million in 2024. The company reported a net loss of $3.4 million for 2025, against $156.8 million in 2024. The annual report passage cited here does not explain the narrow 2025 loss.

Cash used in operations was $116.1 million in 2025, down from $148.8 million in 2024. That outflow came in a year in which the company received the $240.0 million upfront payment from the Novo Nordisk deal.

At the end of 2024 the company held $3.4 million in cash and cash equivalents and $86.7 million in short-term investments. The repurchases would cost up to about $34.0 million in total against up to about $16.0 million of principal. Omeros is also providing transition services to Novo Nordisk, which reimburses the company for related costs and expenses under a transition services agreement.
