Ocugen, Inc. (Nasdaq: [OCGN](https://aibio.space/companies/ocugen/)) said it received a Nasdaq minimum bid price deficiency notice on December 31, 2024. The company disclosed the letter in a [Form 8-K filed January 3, 2025](https://www.sec.gov/Archives/edgar/data/1372299/000110465925000827/tm251676d1_8k.htm) under Item 3.01. Shankar Musunuri, its chairman, chief executive officer and co-founder, signed the filing.

## What the letter says

Nasdaq told Ocugen that for the last 30 consecutive business days, the closing bid price of its common stock had been below the $1.00 minimum required for continued listing on The Nasdaq Capital Market. The letter cites Nasdaq Listing Rule 5550(a)(2). The company calls it the Bid Price Letter.

Ocugen stresses that the letter is a notice of deficiency, not a delisting. The filing says it does not currently affect the listing or trading of the common stock.

## The compliance clock

Ocugen has 180 days, until June 30, 2025, to comply. To do so, its closing bid price must be at least $1.00 a share for 10 consecutive business days.

It may qualify for a second 180-day period. To get it, Ocugen must still have at least $1 million of market value in publicly held shares as of June 30, 2025. It must also meet the other initial listing standards of the Capital Market, apart from the bid price test, and give written notice that it intends to cure the deficiency during that second period.

The company says it intends to monitor the bid price closely and to consider plans to regain compliance. It also says there can be no assurance it will regain compliance during the 180-day period, any extension, or at all.

## The last annual report

The most recent annual report available when the 8-K was filed is the Form 10-K for 2023, filed April 16, 2024. It reports a net loss of approximately $63.1 million for 2023, down from $86.8 million for 2022. The accumulated deficit was $286.2 million at December 31, 2023.

Cash and cash equivalents were $39.5 million at that date. The report says that amount would not meet the company's capital requirements over the following months. It estimated that cash would fund operations into the fourth quarter of 2024, and it said the company would need to raise significant additional capital. That fourth quarter had already ended when the Nasdaq letter arrived.

The auditor included a going concern paragraph in the 10-K. The report says recurring losses and negative cash flows from operations raise substantial doubt about the company's ability to continue as a going concern without significant additional funding.

## The pipeline the company is funding

The 10-K describes several programs aimed at eye disease. It says it had received FDA clearance to start a trial of OCU400 in retinitis pigmentosa, and that it planned to begin dosing patients in the second quarter of 2024. It also planned to expand OCU400 development in Leber congenital amaurosis, subject to FDA alignment, based on Phase 1/2 results.

Other programs include OCU410 for geographic atrophy and OCU410ST for Stargardt disease, which the company describes as rare. OCU200, a fusion protein of two human proteins, tumstatin and transferrin, is aimed at diabetic macular edema, diabetic retinopathy and wet AMD. It remains under a clinical hold. The company says it is working with the FDA to address the comments needed to lift it. Ocugen also lists a cell therapy platform built around NeoCart for knee cartilage repair.

The 8-K gives no cash figure after 2023, so whether the company can fund those programs through the bid price period cannot be measured here.
