Ocugen, Inc. (Nasdaq: [OCGN](https://aibio.space/companies/ocugen/)) said Nasdaq has granted it an additional 180 calendar days to meet the exchange's minimum bid price requirement. The company disclosed the notice in a [Form 8-K filed July 1, 2025](https://www.sec.gov/Archives/edgar/data/1372299/000110465925064695/tm2519606d1_8k.htm).

## What the filing says

On July 1, 2025, Ocugen received a written notice from the Listing Qualifications Department (the Staff) of the Nasdaq Stock Market. The notice says the company has until December 29, 2025 to regain compliance with the minimum closing bid price of $1.00 per share. That requirement is Nasdaq Listing Rule 5550(a)(2) for continued listing on The Nasdaq Capital Market. The filing calls it the Minimum Bid Price Requirement.

The company had already been through a first compliance period. As previously reported, Nasdaq notified Ocugen on December 31, 2024 that for the last 30 consecutive business days, the closing bid price of its common stock had been below the $1.00 minimum. Under Nasdaq Listing Rule 5810(c)(3)(A), the company then had 180 calendar days, or until June 30, 2025, to regain compliance. The new notice adds a second 180-day period to that first one.

## What happens next

According to the notice, if at any time before December 29, 2025 the closing bid price of Ocugen's common stock is at least $1.00 per share for a minimum of 10 consecutive business days, the Staff will provide written notification that the company has achieved compliance. The common stock would then continue to be eligible for listing on The Nasdaq Capital Market.

If compliance cannot be demonstrated by December 29, 2025, the Staff will provide written notification that the common stock will be subject to delisting. Delisting means the shares would be removed from the exchange. At that point Ocugen may appeal the Staff's delisting determination to a Nasdaq Hearing Panel. The filing says there can be no assurance that such an appeal would be successful if the company brings one.

## About Ocugen

In its [annual report on Form 10-K filed March 5, 2025](https://www.sec.gov/Archives/edgar/data/1372299/000162828025010271/ocgn-20241231.htm), Ocugen describes itself as a biotechnology company focused on discovering, developing and commercializing novel gene and cell therapies, biologics and vaccines. Its pipeline includes a modifier gene therapy platform based on nuclear hormone receptors. The company says the platform has the potential to address many retinal diseases with a gene-agnostic approach.

The 10-K says Ocugen was recruiting patients in the United States and Canada for the Phase 3 liMeliGhT clinical trial of OCU400 for the treatment of RP, and was on track to complete enrollment in the first half of 2025. It says OCU410 completed dosing in Phase 2 of the Phase 1/2 ArMaDa trial in geographic atrophy, an advanced form of dry age-related macular degeneration. The company also reports alignment with the FDA in February 2025 on a Phase 2/3 confirmatory trial for OCU410ST in Stargardt disease. A third program, OCU200, is a fusion protein of tumstatin and transferrin. The first patient was dosed in its Phase 1 trial in January 2025.

The audit report included in the 10-K also carries a paragraph headed Substantial Doubt about the Company's Ability to Continue as a Going Concern. The auditor wrote that the company has incurred recurring net losses since inception that raise substantial doubt about its ability to continue as a going concern.

The 10-K reports net losses of approximately $54.1 million for 2024 and $63.1 million for 2023, an accumulated deficit of $340.2 million and a cash balance of $58.5 million at December 31, 2024. The company says that amount will not meet its capital requirements over the next 12 months and that its cash and cash equivalents will fund operations into the first quarter of 2026, so it needs to raise significant additional capital. The funding has come from the sale of common stock, warrants, convertible notes and debt, and grant proceeds. Regaining compliance in the second period still requires a closing bid price of at least $1.00 for ten consecutive business days.
