Neuphoria Therapeutics Inc. said it is unable to file its Quarterly Report on Form 10-Q for the quarterly period ended March 31, 2025, within the prescribed time period without unreasonable effort and expense.

The company filed a notification of late filing on Form 12b-25 on May 15, 2025. The form lets a company tell the SEC it will miss a deadline and take a short extension. For a quarterly report, the extension is five calendar days.

Neuphoria said additional time is needed to compile and analyze supporting documentation to complete the report. The time will also let its independent registered public accounting firm complete its review.

The company expects to file the report as soon as reasonably practicable. It anticipates it will be able to do so within the extension period of five calendar days under Rule 12b-25 of the Securities Exchange Act of 1934.

In the form, Neuphoria said it has filed all other periodic reports required during the preceding 12 months. It does not expect any significant change in results of operations from the same period of the last fiscal year to be reflected in the report.
