Neumora Therapeutics, Inc. said on May 16, 2025 that it has received a Nasdaq deficiency notice because its common stock does not meet the minimum bid price requirement for continued listing. The company disclosed the notice in a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1885522/000119312525121714/d933150d8k.htm) under Item 3.01, the item used to report a notice of delisting or a failure to satisfy a continued listing rule.

## What the Nasdaq notice says

On May 14, 2025, The Nasdaq Stock Market LLC ("Nasdaq") sent Neumora written notice that the company is not in compliance with the $1.00 minimum bid price requirement for continued listing on The Nasdaq Global Select Market. The notice refers to Listing Rule 5450(a)(1).

The notice starts a compliance period. Under Listing Rule 5810(c)(3)(A), Neumora has 180 calendar days, or until November 10, 2025, to regain compliance. To do so, the closing bid price of its common stock must meet or exceed $1.00 per share for a minimum of ten consecutive business days during that period.

## What happens if the deadline passes

The filing describes two paths after November 10, 2025. If Neumora is not in compliance by that date, it may be eligible for additional time. To qualify, the company would have to apply to transfer to The Nasdaq Capital Market. That would require it to meet the continued listing requirement for market value of publicly held shares and all other initial listing standards for The Nasdaq Capital Market, except the minimum bid price requirement.

If the company does not regain compliance within the allotted compliance periods, including any extensions Nasdaq may grant, Nasdaq will provide notice that the common stock will be subject to delisting. Neumora would then be entitled to appeal that determination. The filing says there can be no assurance that Nasdaq would grant a request for continued listing.

## The reverse stock split proposal

Neumora says it intends to monitor the closing bid price of its common stock and consider options to resolve the noncompliance, including a reverse stock split.

The filing points to the company's Definitive Proxy Statement on Schedule 14A, filed with the Securities and Exchange Commission on April 29, 2025. According to the filing, the Board of Directors has approved and, subject to stockholder approval, adopted amendments to the Amended and Restated Certificate of Incorporation to effect a reverse stock split of all outstanding shares of common stock. The ratio could be any whole number between 1-for-5 and 1-for-30, with the exact ratio to be determined by the Board at its discretion. The Board keeps authority to decide when to file the amendment and to abandon the other amendments, even after stockholders approve them.

Stockholders will vote on the reverse stock split proposal at the Annual Meeting of Stockholders on May 28, 2025. The filing says one of the purposes of the proposal is potentially maintaining the listing of the common stock on The Nasdaq Global Select Market. It also says there can be no assurance that stockholders will approve the reverse stock split, that the company will be able to regain compliance with the minimum bid price requirement, or that it will otherwise be in compliance with other Nasdaq listing criteria.

## The company behind the notice

Neumora's 10-K describes a clinical-stage biopharmaceutical company. Its most advanced candidate, navacaprant (NMRA-140), is a once-daily oral kappa opioid receptor antagonist for major depressive disorder, in the pivotal Phase 3 KOASTAL program. The company says it expects topline data from KOASTAL-3 in the first quarter of 2026 and KOASTAL-2 in the second quarter of 2026.

The 10-K reports net losses of $243.8 million for 2024, $235.9 million for 2023 and $130.9 million for 2022, and an accumulated deficit of $947.2 million at December 31, 2024. The company had $307.6 million in cash, cash equivalents and marketable securities at that date, and says that is enough to fund operating expenses for at least 12 months after the report was issued. It has an at-the-market program of up to $300.0 million with Leerink as sales agent, under which it received net proceeds of $13.7 million in 2024. Chief Financial Officer Michael Milligan signed the 8-K.
