Revelation Biosciences, Inc. (Nasdaq: [REVB](https://aibio.space/companies/revelation-biosciences/)) said on January 7, 2025 that the Nasdaq Hearings Panel has granted its request to keep its common stock listed on The Nasdaq Stock Market. The decision carries two conditions. The company must effect a reverse stock split by January 31, 2025, and its stock must then trade at or above $1.00 for at least ten consecutive trading days by February 14, 2025. Revelation reported the decision in a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1810560/000095017025002828/revb-20250103.htm) under Item 3.01.

## What the Nasdaq panel decided

Revelation received the Panel's decision letter on January 3, 2025. The company says it intends to file another Form 8-K once its board settles the reverse split details, including the final ratio and effective date. The 8-K does not give a ratio.

The Panel also confirmed that Revelation has regained compliance with the stockholders' equity requirement of Listing Rule 5550(b)(1). The company had received a notice of delisting over that requirement on August 14, 2024. The bid price problem is therefore still open, and it depends on a split followed by ten days of trading at or above $1.00.

A new split would follow two earlier ones. Its 2023 annual report says a 1-for-35 reverse split took effect on February 1, 2023 and a 1-for-30 split took effect on January 25, 2024.

## What the company said

In a January 6, 2025 press release furnished as [Exhibit 99.1](https://www.sec.gov/Archives/edgar/data/1810560/000095017025002828/revb-ex99_1.htm), Chief Executive Officer James Rolke said, "Now that our obligations from the SPAC merger have settled, we can focus on the development of Gemini and we look forward to the initiation of our Phase 1b clinical study in chronic kidney patients shortly."

The release recaps recent events. On December 3, 2024, the company announced the successful exercise of warrants for $4 million. On December 2, 2024, it announced FDA acceptance of the Gemini IND. The company expects to start the Phase 1b study in the first half of 2025. Chief Financial Officer Chester S. Zygmont, III signed the 8-K.

## Gemini and the evidence so far

Revelation describes itself as a clinical-stage life sciences company focused on harnessing trained immunity. Gemini is an intravenously administered, proprietary formulation of phosphorylated hexaacyl disaccharide (PHAD). The company says it reprograms the innate immune system to respond to stress in an attenuated manner. Programs target acute kidney injury, post-surgical infection and chronic kidney disease.

The clinical record is a Phase 1 study. The company says the primary safety endpoint was met and that results showed statistically significant pharmacodynamic activity, including upregulation of IL-10. Those are biomarker changes, not evidence that Gemini prevents kidney injury or infection in patients.

## Losses, going-concern doubt and lawsuits

Revelation's [annual report on Form 10-K](https://www.sec.gov/Archives/edgar/data/1810560/000095017024035322/revb-20231231.htm), filed March 22, 2024, says it was founded in May 2020 and completed a business combination with Petra Acquisition, Inc. on January 10, 2022. It has no approved products and no product revenue. As of December 31, 2023 it had an accumulated deficit of $25.5 million. Even counting net proceeds of approximately $5.4 million from a February 2024 public offering, it said its cash would not sustain operations for one year after the financial statements were issued, which raises substantial doubt about its ability to continue as a going concern.

The report also described two pending claims. LifeSci Capital LLC sued Revelation in the U.S. District Court for the Southern District of New York on February 18, 2022, seeking approximately $5.3 million plus interest for unpaid banking and advisory fees. Revelation disputes it, but on December 1, 2023 a Magistrate Judge recommended summary judgment for LifeSci Capital, and the company filed objections. A-IR Clinical Research Ltd. brought a claim in England and Wales on September 27, 2022 seeking £1.6 million in unpaid invoices for a viral challenge study, which Revelation disputes. The 8-K and press release do not say how either matter has since been resolved.
