## What the notice says

The Nasdaq Stock Market LLC filed a notice with the Securities and Exchange Commission to remove the securities of Abpro Holdings, Inc. from listing on the exchange. The notice is dated 2026-09-30 and is signed for Nasdaq by Aravind Menon, Hearings Advisor. It names two classes of Abpro securities: its Class A Common Stock and its Warrants. The issuer address on the form is 100 Summit Drive in Burlington, Massachusetts.

The form states that the exchange "has complied with its rules to strike the class of securities from listing and/or withdraw registration on the Exchange," citing 17 CFR 240.12d2-2(b). That is the route an exchange takes when it removes securities under its own rules. The form is signed for Nasdaq, not for Abpro, and it does not refer to any request from the company.

## A listing already in trouble

Abpro reached Nasdaq through a merger. Its annual report on Form 10-K, filed April 15, 2026, says Atlantic Coastal Acquisition Corp. II (ACAB) completed a merger with Abpro Corporation on November 13, 2024, and that the new shares began trading on the Nasdaq Global Market the next day.

The 10-K says that, "as a result of numerous Nasdaq continued listing non-compliance matters," the company received notice of delisting effective February 23, 2026. Its shares then traded on the OTC Pink Limited Market under the ticker ABPO. Abpro appealed the Nasdaq delisting determination on March 18, 2026. The 10-K does not say how that appeal was resolved.

Earlier, the company carried out a one-for-thirty reverse stock split, effective October 31, 2025, with split-adjusted trading from November 3, 2025.

## Pipeline and partners

Abpro describes itself as a developer of next-generation antibody therapeutics, mainly in immuno-oncology, ophthalmology and infectious disease. Its lead candidate, ABP-102, uses the company's TetraBi antibody format to engage T cells by co-targeting HER2 and CD3. It is developed with Celltrion Inc. (KRX:068270) under a collaboration agreement signed in September 2022 and amended in October 2024. The 10-K reports an initial milestone payment of $2.0 million from Celltrion in 2022, and eligibility for net sales milestone payments of up to $1.75 billion.

The FDA cleared the investigational new drug application for ABP-102, also called CT-P72, and the companies were notified on January 6, 2026. Celltrion is to lead the Phase 1 study in patients with HER2-positive solid tumors. The 10-K said clinical trials were expected to start in the first half of 2026. The Form 25 does not say whether that happened.

The second lead program, ABP-201, targets VEGF and ANG-2 for wet age-related macular degeneration. It is developed through a territorial partnership with Abpro Bio, a subsidiary of Abpro Bio Co. Ltd (KOSDAQ:195990), formerly named Ugint Co Ltd. ABP-102 has only just been cleared for a first human study, so there are no human results to weigh for it.

## The money

The XBRL figures show research and development expense of $3.0 million for 2024 and $989,000 for 2025. Cash used in operations was $9.0 million in 2024 and $6.0 million in 2025. Revenue for 2024 was $183,000.

Year-end cash and cash equivalents were $2.9 million for 2024 and $82,000 for 2025, according to figures tied to a 10-Q filed August 14, 2026. The same figures put cash and cash equivalents at $4.2 million on June 30, 2026.

The company used millions of dollars a year in operations while its year-end cash fell to $82,000. A Form 25 removes a listing. It does not bring in cash.

## What comes next

The Form 25 does not give an effective date for the removal. The one other dated step is the company's own: a clinical start for ABP-102 that the 10-K expected in the first half of 2026. The Form 25 does not confirm that it happened.
