## The notice

Nasdaq Stock Market LLC filed a Form 25, a notification of removal from listing and registration under Section 12(b) of the Securities Exchange Act of 1934, dated July 11, 2025. The issuer named is Bio-Path Holdings, Inc., with its principal executive offices at 2626 South Loop in Houston, Texas. The class of securities is its common stock, Commission File Number 000-53404.

The notice states that, under 17 CFR 240.12d2-2(b), the exchange has complied with its rules to strike the class of securities from listing and registration.

The notice is signed on Nasdaq's behalf by Aravind Menon, identified as hearings advisor. The form states that the exchange has reasonable grounds to believe it meets the requirements for filing the Form 25. It does not give the reason for the removal, the date trading will stop, the date of any hearing or the last appeal, and it does not say where the shares will trade next.

## What the company's annual report shows

Bio-Path's annual report on Form 10-K, filed March 27, 2025 for the year ended December 31, 2024, describes its DNAbilize antisense delivery platform, which it uses for drug development and manufacturing. It names four candidates in development for at least five cancer indications. The lead candidate, BP1001 or prexigebersen, targets growth factor receptor-bound protein 2, or Grb2, and is in an amended Phase 2 trial in acute myeloid leukemia (AML), with prexigebersen added to decitabine and venetoclax. The company says its safety run-in was completed, and early data presented at the 2021 ASH Annual Meeting showed the treatment was well tolerated with no dose-limiting toxicities attributed to prexigebersen.

On June 3, 2024, the company announced interim data for the first two cohorts. In cohort 1, 20 evaluable newly diagnosed patients with a median age of 75 years were treated, and fifteen of them (75%) achieved complete remission or a complete remission with partial or incomplete count recovery. In cohort 2, twelve of 23 evaluable relapsed or refractory patients (55%) did so. These are interim results from small groups in a trial without a control arm. Adverse events included fatigue (72%), anemia (60%) and neutropenia (49%). The most frequent severe adverse events were febrile neutropenia (26%) and sepsis (5%), which the company says were consistent with decitabine and venetoclax or the disease.

The company says it expects to continue enrolling up to 98 and 54 evaluable patients in cohorts 1 and 2, plans to complete that enrollment in 2026, and plans to pursue FDA expedited programs for Fast Track designation. It is also evaluating whether to expand the trial into Europe. The second candidate, BP1002, is a liposomal Bcl-2 inhibitor.

The annual report's figures are the most recent full-year data before the notice. Net loss was $9.9 million for 2024, against $16.1 million for 2023. Research and development expense was $7.3 million for 2024, against $11.6 million for 2023. Cash used in operations was $10.6 million in 2024, against $11.5 million in 2023.

## What the notice leaves open

The notice does not explain why Nasdaq acted. Any response from the company, any appeal and the terms of trading after the removal are not in the form.

The annual report's figures show a company that cut its losses and spending in 2024 but still used $10.6 million of cash in operations that year. The notice does not link the removal to those figures, and it does not state the company's cash position at the date of the notice. It also gives no outcome for the trial or for the company's financing.
