Peters v. MoonLake Immunotherapeutics, et al., Case No. 1:25-cv-8612, was filed October 17, 2025 in the U.S. District Court for the Southern District of New York. The defendants are the company, its chief executive officer, its chief financial officer and, since an amended complaint filed April 16, 2026, its chief scientific officer. The 10-Q does not name the three executives, but its signature page identifies Dr. Jorge Santos da Silva as chief executive officer and Matthias Bodenstedt as chief financial officer. The company's [2026 proxy statement](https://www.sec.gov/Archives/edgar/data/1821586/000114036126015916/ny20067252x1_def14a.htm) lists Dr. Kristian Reich as chief scientific officer. No filing reviewed states that these three are the individual defendants. ## The case The Peters Action is brought for investors who purchased or otherwise acquired MoonLake's Class A Ordinary Shares from March 10, 2024 through September 29, 2025. It asserts claims under Sections 10(b) and 20(a) of the Securities Exchange Act of 1934, based on statements it alleges were false or misleading about the clinical benefits and prospects of sonelokimab. The 10-Q does not give the specific statements. The 10-K says Peters seeks the same relief as Bridgewood, which was unspecified damages and other relief. The 10-Q calls the two suits together the Class Actions. An earlier, substantially identical action, Bridgewood v. MoonLake Immunotherapeutics, et al., was filed October 15, 2025 in the same court. The plaintiff voluntarily dismissed it without prejudice on October 22, 2025. The company's [10-K for 2025](https://www.sec.gov/Archives/edgar/data/1821586/000182158626000002/mnlk-20251231.htm) gives its case number as 1:25-cv-8500 and says it named the company and its chief executive and chief financial officers. ## Defendants The named defendants are MoonLake Immunotherapeutics, its chief executive officer, its chief financial officer and its chief scientific officer. The 2026 proxy says Dr. Santos da Silva has been chief executive officer since April 2022, Bodenstedt has been chief financial officer since April 2022 and Dr. Reich has been chief scientific officer since April 2022. Those start dates come before the class period begins. The original Peters complaint named only the company and the chief executive and chief financial officers. The amended complaint added the chief scientific officer. ## Where it stands The court appointed a lead plaintiff and lead counsel on January 6, 2026. The lead plaintiff filed the amended complaint on April 16, 2026, covering the same class period and asserting substantially similar claims. Defendants moved to dismiss on June 16, 2026, and the 10-Q says the motion remains pending. The 10-Q says the defendants deny the allegations of wrongdoing and intend to defend vigorously. The company says it cannot predict the outcome of the Peters Action and so cannot estimate the reasonably possible loss or range of loss. The only 8-K filed since, dated September 30, 2026, covers a Biologics License Application submission and does not mention the case. ## Why it matters to shareholders The company's filings give no accrual and no loss estimate for the case. The 10-Q says litigation can hurt the company through defense and settlement costs, diversion of management resources, negative publicity and reputational harm, whatever the outcome, and that favorable results cannot be assured. The 10-K's risk factors say such class action suits have been brought against the company and could result in substantial costs and a diversion of management's attention and resources. The filings do not discuss insurance coverage or indemnification for the case.
