MIRA Pharmaceuticals, Inc. (Nasdaq: [MIRA](https://aibio.space/companies/mira-pharmaceuticals/)) said in a [Form 8-K filed April 11, 2025](https://www.sec.gov/Archives/edgar/data/1904286/000164117225003889/form8-k.htm) that Nasdaq has told it the company does not meet the minimum stockholders' equity requirement for continued listing. The letter is dated April 8, 2025. The company says the notice does not affect its listing status or the trading of its common stock, which continues on The Nasdaq Capital Market under the symbol MIRA.

## What the Nasdaq letter says

The letter came from the Nasdaq Listing Qualifications Staff. It said that, based on stockholders' equity of $2,199,750 as of December 31, 2024, MIRA does not meet the $2.5 million minimum under Nasdaq Listing Rule 5550(b)(1). Stockholders' equity is the value left for owners after liabilities are subtracted from assets.

## The deadlines

Under Nasdaq procedures, MIRA has 45 calendar days, or until May 23, 2025, to submit a plan outlining the actions it intends to take to regain compliance. After reviewing the plan, Nasdaq may grant an extension of up to 180 calendar days from the date of the notice.

## The company's plan

MIRA says it is preparing a plan to restore compliance and is confident it can meet the listing requirements within the allowed time. The main step it names is completing its previously announced acquisition of SKNY Pharmaceuticals, Inc. The 8-K says that transaction is expected to include a $5 million capital infusion, composed of cash or equivalent consideration, which the company says will significantly enhance its balance sheet.

The filing does not give the terms of the SKNY acquisition, a closing date, or a figure for the cash that would be received. The company also says it is in discussions with strategic investors, without naming them or giving an amount. The 8-K says its efforts are expected to support continued listing and drive long-term shareholder value.

The gap between the $2,199,750 reported and the $2.5 million minimum is the figure the plan must close. The 8-K does not say whether the $5 million infusion would be enough on its own, and it does not give any figures for liabilities, cash or losses.

## The clinical update

The 8-K also describes the Phase 1 trial of Ketamir-2, which the company calls its next-generation oral ketamine analog for neuropathic pain. The company says the first subject has been dosed and the trial is advancing smoothly. It adds that early data shows promise in the drug's topical formulation, which it says may broaden its clinical use.

The filing gives no trial data, no sample size and no dose information. The "early data" on the topical form are a company description, not a result that can be checked from the filing. The company also says it is excited about SKNY-1 as a candidate for obesity and smoking cessation, but gives no study results for it.

## Going-concern doubt

The company's annual report for 2024 says its losses from operations and negative cash flows during that year raise substantial doubt about its ability to continue as a going concern absent adequate new debt or equity financings. It adds that the report of its independent registered accounting firm contains an explanatory paragraph on the same point, and that it will need additional funds to complete its business plan with no assurance that financing will be available. The 8-K itself does not mention this.

## Who signed

Chief Executive Officer Erez Aminov signed the 8-K on April 11, 2025. MIRA is a Florida corporation with offices in Miami, and the 8-K cover identifies it as an emerging growth company.

## What comes next

MIRA must submit its compliance plan by May 23, 2025. Whether Nasdaq grants the extension of up to 180 calendar days will depend on that plan. The company's listing rests on closing the SKNY acquisition and reaching the $2.5 million equity level, and the filing gives no date for either.
