Tickers [MIRA](https://aibio.space/companies/mira-pharmaceuticals/)

MIRA reported stockholders' equity of $2,199,750 as of December 31, 2024, below the $2.5 million Nasdaq minimum. It has until May 23, 2025 to submit a plan to regain compliance, and its main fix is an acquisition the release says it expects to complete.

MIRA Pharmaceuticals, Inc. said it received a letter on April 8, 2025 from the Nasdaq Listing Qualifications Staff saying it does not meet the minimum stockholders' equity requirement for continued listing. The Miami, Florida company reported the letter in a Form 8-K filed April 11. Its stockholders' equity was $2,199,750 as of December 31, 2024. Nasdaq Listing Rule 5550(b)(1) requires $2.5 million.

## The deadline and the extension

The notice does not affect the listing, and the shares continue to trade on the Nasdaq Capital Market under the symbol MIRA. The company has 45 calendar days, or until May 23, 2025, to submit a plan setting out how it will regain compliance. Nasdaq may grant an extension of up to 180 calendar days from the date of the notice. MIRA says it is preparing that plan and "is confident in its ability to meet the listing requirements within the allowed timeframe." That is the company's own assessment. The 8-K describes the plan in no detail beyond the acquisition described below.

## The SKNY deal and the $5 million

The main fix is the acquisition of SKNY Pharmaceuticals, Inc., which the company previously announced and now expects to complete. The company expects the deal to include a $5 million capital infusion made up of cash or equivalent consideration, and says that will "significantly enhance the Company's balance sheet." The release does not say when the deal will close, and it describes the $5 million as expected rather than received. MIRA also says it is in discussions with strategic investors, but it names none of them.

## The pipeline the release describes

The release says MIRA is progressing a Phase 1 clinical trial of Ketamir-2, its next-generation oral ketamine analog for neuropathic pain. It says the first subject has been dosed and that the trial is advancing. It also says early data show promise for a topical formulation of the drug. The release gives no numbers for either point, and it reports no efficacy results.

The company also calls SKNY-1 a potentially novel candidate for obesity and smoking cessation, two areas it describes as having significant unmet need. The release offers no data for SKNY-1. Its forward-looking statements mention the timing of other preclinical studies, the filing of an investigational new drug application for Ketamir-2, and the SKNY acquisition, but the release gives no dates for any of them.

## Executive pay in the annual report

The company's annual report for 2024, filed March 28, 2025, lists option grants made on December 6, 2024. Chief Executive Officer Erez Aminov received 2,000,000 options at an exercise price of $1.19 a share on that date, and 500,000 restricted stock units. Those units vest 50% on February 12, 2025 and 50% on June 6, 2025. The compensation committee also granted him a cash award of $300,000, based on CEO performance. Chief Financial Officer Michelle Yanez received 150,000 options at $1.19 on the same date.

Aminov also received 300,000 options at $1.16 a share on March 25, 2024 and 379,000 options at $0.85 on May 28, 2024, and Yanez received 150,000 options at $1.16 on March 25, 2024. These awards come from the annual report; the 8-K says nothing about them.

## What the release leaves open

The company's stated plan relies on an acquisition that has not closed, a $5 million infusion the company expects, and talks with unnamed investors. It gives no timetable for the plan beyond the May 23, 2025 submission date, and it does not say how the company would meet the $2.5 million requirement if the SKNY deal is delayed or changed.
