Microbot Medical Inc. ([MBOT](https://aibio.space/companies/microbot-medical/)) agreed on September 15, 2025 with holders of its outstanding preferred investment options to exercise them for cash, for up to 13,989,115 shares of common stock in total. The release's headline reads "Up to $92.2 Million in Gross Proceeds," a total that includes about $63 million the company says could come from new options it would issue in return. The company expects approximately $25.2 million at a first closing and approximately $4 million at a second, in each case before placement agent fees and offering expenses.

### The two closings

At the first closing, expected on or about September 16, 2025, holders will exercise options for up to 12,064,627 shares, with exercise prices ranging from $1.50 to $2.13 per share. Those options were issued in June 2024, January 2025 and February 2025. A second closing, expected no later than October 15, 2025, covers options for up to 1,924,488 shares at $2.10 per share, issued in January 2025. Both closings are subject to customary closing conditions.

### The new options

For the cash, Microbot will issue new unregistered short-term series J preferred investment options for the same number of shares: 12,064,627 at the first closing and 1,924,488 at the second. The series J options carry an exercise price of $4.50 per share. They become exercisable six months after issuance and have a term of two years after that. If all were exercised for cash, the company would receive approximately $63 million more. The release says no assurance can be given that any of them will be exercised.

The structure means the company receives cash now at exercise prices between $1.50 and $2.13 per share, and gives holders a further option package at $4.50. The release does not give a current share price, so it does not show where the stock trades against that $4.50 level.

### Placement agent, shares and use of proceeds

H.C. Wainwright & Co. is acting as the exclusive placement agent for the offering. The release does not name counsel for either side. As of September 15, 2025, there were 52,794,762 shares of common stock outstanding immediately before the offering.

Microbot says it intends to use the net proceeds for continued development, commercialization and regulatory activities for its LIBERTY Robotic System, for potential acquisitions of complementary assets or products, for expansion and development of additional applications derived from its existing intellectual property portfolio, and for working capital and other general corporate purposes.

### Registration and the private placement

The shares issuable on exercise of the options being exercised are registered under post-effective amendments on Form S-3 to registration statements on Form S-1, and under a registration statement on Form S-3. The series J options were offered in a private placement under an exemption from the Securities Act of 1933, as amended. Microbot has agreed to file a registration statement covering the resale of the shares issuable upon their exercise.

### The company and its risks

The release describes Microbot as a breakthrough medical device company focused on transforming endovascular procedures through robotic technology. It calls the LIBERTY Endovascular Robotic System the first single-use, remotely operated robotic solution designed for precision, efficiency and provider safety. That is the company's own description.

The risk summary in Microbot's annual report for 2024 is blunter. It says the company has had no revenue and has incurred significant operating losses since inception, that it expects losses to continue and may never become profitable, and that it will need additional funding or could be forced to delay, reduce or eliminate its development and commercialization efforts. It adds that the business depends heavily on LIBERTY, its sole lead product candidate, and that Microbot does not know whether the data in its 510(k) application will satisfy all FDA requirements for clearance. It also says Microbot relies on third-party manufacturers and on suppliers for components, and that delays in delivery could hurt development.
