Mereo BioPharma's American Depositary Shares failed to hold a $1.00 minimum bid price for 30 consecutive business days, and Nasdaq gave the company until August 17, 2026 to regain compliance. The company's 2024 annual report shows a net loss of $43.3 million and $69.8 million of cash.

Mereo BioPharma Group plc (Nasdaq: [MREO](https://aibio.space/companies/mereo-biopharma/)) said on February 17, 2026 that Nasdaq has told it its American Depositary Shares, or ADSs, no longer meet the minimum bid price rule for continued listing. The company reported the deficiency in a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1719714/000119312526054787/mreo-20260217.htm) under Item 3.01, the item for notices of delisting or failure to satisfy a continued listing rule. Each ADS represents five ordinary shares.

## What Nasdaq told the company

The letter from Nasdaq's Listings Qualifications Department says the ADSs failed to maintain a minimum bid price of $1.00 over the previous 30 consecutive business days. That is required for continued listing on The Nasdaq Capital Market under Nasdaq Listing Rule 5550(a)(2). The company calls this the Bid Price Requirement. The letter does not cause immediate delisting, and the ADSs keep trading under the symbol MREO.

## The deadline and what follows

Under Nasdaq Listing Rule 5810(c)(3)(A), Mereo has a 180-calendar-day compliance period, until August 17, 2026. The ADSs regain compliance if the closing bid price is at least $1.00 for a minimum of 10 consecutive business days during that period. Nasdaq staff may use discretion under Rule 5810(c)(3)(H) to extend that 10-day period.

If Mereo does not regain compliance by August 17, 2026, it may be eligible for another 180-day grace period. To qualify, it must meet the market value of publicly held shares requirement and the other initial listing standards for the Capital Market, apart from the bid price test. It must also give written notice of its intent to cure the deficiency. If the company is not eligible, Nasdaq would notify it that the ADSs are subject to delisting. Mereo could appeal to a hearing panel, and the company says there is no assurance that an appeal would succeed.

The company says it intends to monitor the closing bid price of its ADSs. It also says there can be no assurance that it will regain compliance or meet the other Nasdaq listing criteria. The 8-K does not give the ADS price on February 17, 2026 or the trading period behind the notice.

## Losses and cash

The company's annual report for the year ended December 31, 2024 says Mereo had a net loss of $43.3 million for 2024, compared with $29.5 million for 2023. It says the company had an accumulated deficit of $462.9 million at December 31, 2024, up from $419.6 million a year earlier. The report says its losses have come mainly from expenses for research and development and for general and administrative costs. It also says the company has never generated revenue from product sales and expects to keep incurring significant operating losses.

The same report says Mereo had cash and cash equivalents of $69.8 million at December 31, 2024. The company said it expected that cash to be sufficient to fund operations and capital expenditure requirements for at least twelve months from the filing date of the report. The report states the company has funded its losses through public equity financings, private equity and debt financings and license and collaboration agreements, and expects to keep doing so until it can generate significant revenue.

## Where the company stands

Mereo is a multi-asset, clinical-stage biopharmaceutical company with a limited operating history. The company is incorporated in England and Wales and gives its principal executive office as One Cavendish Place in London. The 8-K's cover page lists the ADSs on The Nasdaq Stock Market LLC, and lists the ordinary shares as well, for listing purposes only.

The report says expenses are expected to rise as Mereo carries out activities under its collaboration with Ultragenyx and a possible commercialization of setrusumab, if approved in the EU and the U.K., and as it seeks a partnership and prepares for a possible Phase 3 trial of alvelestat in severe AATD-LD.

## Who signed

Chief Financial Officer Christine Fox signed the Form 8-K for Mereo on February 17, 2026. The 8-K names no placement agent, underwriter or financial advisor.
