Merck & Co., Inc. (NYSE: [MRK](https://aibio.space/companies/merck-mrk-xetr/)) is the defendant in a putative securities class action over how it described demand for its Gardasil vaccines in China, according to its [10-Q filed August 7, 2026](https://www.sec.gov/Archives/edgar/data/310158/000031015826000212/mrk-20260630.htm). The case, Cronin v. Merck & Co., Inc., et al., was filed on February 12, 2025 in the U.S. District Court for the District of New Jersey. The 10-Q gives no case number.

The suit names Merck and "certain of its officers" as defendants. Separate derivative lawsuits in New Jersey state and federal court name current and former officers and board members. The 10-Q names none of the individuals. The Defendants section below lists the executives and directors Merck's own filings show.

## The case

The plaintiff sues on behalf of all purchasers of Merck common stock between October 26, 2023 and February 3, 2025. It alleges that Merck violated federal securities laws by making materially false and misleading statements and omissions about demand for Gardasil and Gardasil 9 in China. These are allegations, and Merck has moved to dismiss.

On December 17, 2025 the court appointed AMF Tjänstepension AB, KBC Asset Management NV and Wayne County Employees' Retirement System as lead plaintiffs. They filed an amended complaint on February 20, 2026 seeking unspecified damages allegedly caused by the statements.

The derivative lawsuits assert claims under state and federal securities statutes and New Jersey common law, based on the same allegations. They seek unspecified monetary damages, corporate governance reforms, injunctive relief, disgorgement of profits, restitution, fees and costs.

## Defendants

The 10-Q lists the class action defendants only as Merck and certain officers. Merck's annual report for 2023 lists Robert M. Davis as chairman, chief executive officer and president, and Caroline Litchfield as executive vice president and chief financial officer. Davis had held that combined post since December 2022 and Litchfield hers since April 2021, so both were in office when the class period began. No filing reviewed says they are defendants.

The 10-Q does not give the derivative defendants, case names or filing dates. Merck's proxy statement filed April 9, 2025 lists thirteen director nominees: Douglas M. Baker, Jr., Mary Ellen Coe, Pamela J. Craig, Davis, Thomas H. Glocer, Surendralal L. Karsanbhai, Risa J. Lavizzo-Mourey, Stephen L. Mayo, Paul B. Rothman, Patricia F. Russo, Christine E. Seidman, Inge G. Thulin and Kathy J. Warden. That is the board as of that proxy, not a list of people sued.

## Where it stands

Defendants filed a motion to dismiss the amended complaint on May 1, 2026. The plaintiffs filed their opposition on June 30, 2026, and the reply brief was due on August 14, 2026. The 10-Q reports no ruling.

All of the derivative proceedings are stayed pending further developments in the class action.

## Related matters

The same section of the 10-Q describes other cases. In the RotaTeq antitrust case, the Mayor and City Council of Baltimore sued Merck in March 2023 in the Eastern District of Pennsylvania on behalf of third-party payers, alleging an anticompetitive vaccine bundling scheme. Merck opposed class certification in February 2026. The 10-Q also describes two Department of Justice civil investigative demands, received in June 2024 and August 2025, under the False Claims Act, and Hatch-Waxman patent suits over Lenvima and Lynparza.

## Why it matters to shareholders

The class action seeks unspecified damages, and the filing gives no figure for exposure. Merck says it "is unable to reasonably estimate a possible loss or range of possible loss" for the litigation described in that note until it knows which claims survive dispositive motions, among other factors. It also says generally that it is "unlikely that the resolution of these matters will be material" to its financial condition, results of operations or cash flows. That statement covers its claims and proceedings as a group, including securities litigation, not Cronin alone.
