MeiraGTx Holdings plc said on July 7, 2026 that it had entered into an agreement with Oberland Capital Management LLC for an investment of up to $400 million. Up to $375 million of that is non-dilutive capital that MeiraGTx repays through capped royalty payments on certain products. The remaining up to $25 million is equity. The company said it filed more detail in an 8-K the same day.

## Who is funding it

The release describes Oberland as a private investment firm formed in 2013, with assets under management in excess of $3.5 billion, focused exclusively on the global healthcare industry. Michael Bloom, a partner at Oberland, said MeiraGTx is "in the rare position of having three potentially approvable therapies within the next 12 to 24 months." The release names no bank, placement agent, financial advisor or law firm for the transaction.

## The initial $135 million

The initial $135 million includes $125 million in exchange for low single-digit royalties on the included products, and a $10 million equity investment. The royalties apply after regulatory approval to three products: AAV2-hAQP1 for radiation-induced xerostomia, botaretigene sparoparvovec, or bota-vec, for X-linked retinitis pigmentosa, and AAV-AIPL1 for LCA4.

The royalty payments are capped at a multiple of the amounts funded, but the release does not state that multiple. MeiraGTx can buy back the entire funded royalty note at any time by paying certain specified amounts, and the release does not state those amounts either.

## Money that depends on later events

Three further $50 million amounts are available at MeiraGTx's option. One is tied to positive data readouts from the Phase 2 AQUAx2 study of AAV2-hAQP1 in 2027. The second is tied to regulatory approval of bota-vec in 2027, and the third to regulatory approval of AAV2-hAQP1 in 2028. A further $100 million is available by mutual agreement for new products or business development. Oberland also has the right to buy an additional $15 million of equity.

Apart from the first $135 million, then, the money depends on trial readouts, approvals or a negotiated deal.

## Dilution the release cannot measure

The release does not give a price per share for the $10 million equity investment or for the $15 million option, so the number of shares involved cannot be worked out from it. The company's president and chief executive, Alexandria Forbes, Ph.D., said the size and terms of the investment "demonstrate exceptional confidence in the strength of the data for these programs to date." That is the company's reading of the deal. The release does not offer an independent assessment of the data.

## The business behind the royalties

MeiraGTx calls itself a vertically integrated, clinical-stage genetic medicines company. Its annual report for 2025, filed March 30, 2026, describes two GMP viral vector facilities, one in London and one in Shannon, Ireland. The London site, at 29,000 square feet, received a commercial manufacturing authorization from the UK regulator in December 2025. The Shannon campus covers 150,000 square feet and holds a plasmid DNA facility and a quality control hub.

The release's own description lists four late-stage clinical programs, in radiation-induced xerostomia, eye diseases and Parkinson's disease. It describes the XLRP and xerostomia programs as moving toward potential commercialization.

## Financial position before the deal

The annual report gives the financial picture for 2025. Revenue was $81.4 million, against $33.3 million in 2024. Research and development expense was $129.6 million, up from $119.5 million. The net loss was $114.2 million, against $147.8 million, and cash used in operations was $46.4 million, against $104.5 million. Cash and cash equivalents at the end of 2024 were $103.7 million. The release does not give a current cash balance or a runway, so the funding is judged against that 2025 burn, not against a current position.

## What comes next

The 2027 and 2028 milestones set the timetable for the optional tranches, and royalties begin only after approval. The release also says the company's structure preserves business development flexibility. The release points readers to a separate 8-K for further detail, and the cap multiple and buy-back amounts are not given in the release itself.
