Matinas Biopharma Holdings, Inc. told the SEC on March 31, 2025 that it cannot file its annual report on Form 10-K for the period ended December 31, 2024 by the prescribed due date, according to a [notification of late filing](https://www.sec.gov/Archives/edgar/data/1582554/000164117225001849/formnt10-k.htm).

The notice, filed on Form 12b-25, gives a company extra time when it cannot finish a periodic report on schedule without unreasonable effort or expense. For an annual report, the extension runs to the fifteenth calendar day after the original due date.

Matinas said it requires additional time to complete the review of its financial statements for the quarter and year ended December 31, 2024. The company said it plans to file the Form 10-K "as soon as practicable and within the fifteen calendar day period provided by Rule 12b-25 for delayed filings."

In the notice, Matinas said it has filed all other periodic reports required during the preceding 12 months. It also said it does not anticipate that the report will show a significant change in results of operations from the corresponding period of the last fiscal year.
