## The warrant exercise

Lexaria Bioscience Corp. (Nasdaq: [LEXX](https://aibio.space/companies/lexaria-bioscience/)) said on September 8, 2026 that it signed definitive agreements for the immediate exercise of outstanding warrants to buy an aggregate of 453,969 shares of common stock. The warrants will be exercised at a reduced price of $12.92 per share. The company expects gross proceeds of approximately $5.9 million before placement agent fees and other offering expenses, and the closing is expected on or about September 9, 2026, subject to customary closing conditions.

The exercised warrants were issued on four dates, with original exercise prices that fall far above the new price. Warrants issued on February 16, 2024 carried an exercise price of $32.78 per share. Those issued on October 16, 2024 carried $45.90, those issued on September 29, 2025 carried $20.55, and those issued on December 16, 2025 carried $17.85. Holders are therefore exercising at prices well below the original exercise prices.

H.C. Wainwright & Co. is the exclusive placement agent for the offering. The release names no other banker, financial adviser or counsel for the transaction. The shares issuable on exercise are registered under three Form S-1 registration statements and one Form S-3.

## The new warrants

In return for the immediate cash exercise, Lexaria will issue new unregistered Series A warrants and Series B warrants. Each series covers up to 453,969 shares, the same number as the exercised warrants, at an exercise price of $12.67 per share. The Series A warrants expire five years from the effective date of a resale registration statement. The Series B warrants are short-term and expire eighteen months from that same date. The company agreed to file the resale registration statement as soon as practicable.

The new warrants are being sold in a private placement and have not been registered under the Securities Act of 1933. They may not be offered or sold in the United States without an effective registration statement or an exemption. Both series are exercisable immediately at $12.67, and the resale registration statement is to cover the shares issuable on their exercise, so the new warrants add potential dilution beyond the shares issued on this exercise.

## Use of proceeds and the tax rebate

The company expects to use the net proceeds for working capital and general corporate purposes. Chief Executive Officer Rich Christopher said the proceeds, together with a $2.6 million tax rebate the company recently received from the Australian Tax Office, may fund operations and research and development programs in 2027.

The statement points to spending in 2027, but the release gives no cash balance as of September 2026 and no spending forecast.

## The company and its platform

Lexaria describes itself as a drug delivery company whose patented DehydraTECH platform improves the way a range of drugs enter the bloodstream, always through oral delivery. The release says the platform has repeatedly shown an ability to increase bio-absorption, reduce side effects and deliver some drugs more effectively across the blood-brain barrier. Those are company statements about its technology and do not come with a clinical data set in the release.

The company holds 66 granted patents. Its annual report for the year ended August 31, 2025 describes its focus on pharmaceutical drug products, with the technology extending to nutraceuticals, foods and beverages.

## The financial record

For the fiscal year ended August 31, 2025, revenue was $705,923, against $464,278 a year earlier. Research and development expense rose to $8.2 million from $2.4 million, and the net loss widened to $11.9 million from $5.8 million. Cash used in operations was $10.5 million, up from $5.0 million.

Cash and cash equivalents were $1.8 million at August 31, 2025, down from $6.5 million a year earlier. In a quarterly report filed in July 2026, cash and cash equivalents were $3.5 million at May 31, 2026, and short-term investments were $142,103. The proceeds are gross, before placement agent fees, against a cash and cash equivalents balance of $3.5 million at May 31, 2026.
