Latigo Biotherapeutics, Inc. filed a Form S-1 with the SEC on July 17, 2026 for an initial public offering. The Thousand Oaks, California company has applied to list its common stock on The Nasdaq Global Select Market under the symbol LTGO. The filing leaves the share count, the price range and the directed share percentage blank, so the size of the raise cannot be read from it.

### Underwriters and advisers

The cover names Goldman Sachs & Co. LLC, Jefferies, Leerink Partners and Guggenheim Securities as underwriters, without setting out their roles. The underwriters have a 30-day option to buy additional shares. At the company's request, a percentage of the offering is reserved at the offering price for directors, officers, employees, business associates, investors and friends and family. Goldman Sachs & Co. LLC and its affiliates make those sales through a directed share program, and the prospectus says those shares are not subject to the lock-up restrictions described elsewhere.

The cover lists Cooley LLP and Latham & Watkins LLP under "Copies to," with three lawyers named at each firm. The filing does not say which firm represents the company and which represents the underwriters.

### The lead drug and its trial record

Latigo calls itself a clinical-stage company developing non-opioid pain medicines. Its lead candidate, LTG-001, is an oral Nav1.8 inhibitor for moderate to severe acute pain, to be taken as needed for up to 30 days. A second candidate, LTG-321, is being developed first for chronic musculoskeletal pain.

The main efficacy result is one abdominoplasty trial of 343 patients. LTG-001 met its primary endpoint, summed pain intensity difference over 48 hours against placebo, with a 62.1-point result at the high dose. Over the same 48 hours, 52.3% of high-dose patients stayed opioid-free, against 22.1% on placebo. The company says the trial also met its key secondary endpoints, that median time to a two-point pain reduction was 52 minutes on the high dose against 83 minutes for the opioid comparator HB/APAP, and that the drug was generally well tolerated. The filing also says its earlier cold-pressor and dental studies were early proof-of-concept work, not designed to support efficacy in a regulatory filing.

The company says the abdominoplasty trial may count as one of the two pivotal trials the FDA requires. It still plans a placebo-controlled bunionectomy Phase 3 trial and an open-label Phase 3 safety trial, with topline results expected in the second half of 2027. The company anticipates a new drug application only after those results and its other planned studies.

The filing names suzetrigine (Journavx), approved by the FDA in January 2025, as the first Nav1.8 inhibitor. Latigo calls it a safer non-opioid alternative but says its efficacy, slow onset and contraindications may limit uptake.

### Cash, losses and dilution

The auditors' report on the 2025 financial statements includes a going-concern paragraph, and the company says there is substantial doubt about its ability to continue as a going concern. Net losses were approximately $61.2 million in 2024 and $109.2 million in 2025. The accumulated deficit was approximately $266.1 million at March 31, 2026, when cash and cash equivalents were $42.2 million. A preliminary, unaudited figure of approximately $54.8 million for June 30, 2026 may differ materially from the closed statements.

The company issued $35.0 million of convertible notes in June 2026. The notes convert at the closing and the filing leaves their conversion share count blank. All convertible preferred stock converts into an aggregate of 264,397,128 shares of common stock at the closing. Options covering 63,299,052 shares were outstanding under its 2019 Stock Plan at March 31, 2026, at a weighted-average exercise price of $0.55 per share.

The company plans to use the net proceeds, with existing cash, to take LTG-001 through its bunionectomy Phase 3 and safety trial results and into a new drug application, and LTG-321 through Phase 2 osteoarthritis results and into Phase 3. The net proceeds figure is blank in the filing. The Phase 2 osteoarthritis trial, a placebo-controlled crossover study in about 120 patients, has topline results expected in the second half of 2027.
