Larimar Therapeutics, Inc. (Nasdaq: [LRMR](https://aibio.space/companies/larimar-therapeutics/)) filed a preliminary prospectus supplement on February 25, 2026 for a $75.0 million offering of common stock and pre-funded warrants. The final prospectus supplement, also dated February 25, 2026, shows the deal priced at 20,000,000 shares of common stock at $5.00 per share, for $100,000,000 in total. The company receives $4.70 per share, or $94,000,000 before expenses, after an underwriting discount of $0.30 per share, or $6,000,000. Delivery was expected on or about February 27, 2026.

### Who sold the shares

J.P. Morgan and Guggenheim Securities are joint bookrunning managers. The prospectus lists LifeSci Capital and William Blair as bookrunners, Citizens Capital Markets as lead manager and Jones as co-manager. The underwriting table names the purchasers by their legal names: J.P. Morgan Securities LLC, 9,000,000 shares; Guggenheim Securities, LLC, 5,200,000 shares; LifeSci Capital LLC, 2,000,000 shares; William Blair & Company, L.L.C., 2,000,000 shares; Citizens JMP Securities, LLC, 1,200,000 shares; and JonesTrading Institutional Services LLC, 600,000 shares. The underwriters also hold a 30-day option to buy up to 3,000,000 more shares. The prospectus says Goodwin Procter LLP will pass on the validity of the shares for Larimar and Mintz, Levin, Cohn, Ferris, Glovsky and Popeo, P.C. is counsel to the underwriters.

Separately, Guggenheim Securities, LLC is sales agent under a May 9, 2024 at-the-market agreement for up to $100.0 million of stock. No sales have been made under it.

### The price and the stock's recent trading

The preliminary supplement gave the last sale price on February 24, 2026 as $3.69 per share, with the price and share counts left blank. The final supplement gives $5.95 per share as the last reported sale price on February 25, 2026. The final offering price of $5.00 is below that figure. Pre-funded warrants were offered at the offering price minus $0.001, and each is exercisable for one share. Holders may be limited to 4.99%, or 9.99% at their election, of the company's shares outstanding after exercise.

Deerfield Management Company, L.P., described as the company's largest stockholder, and certain Deerfield funds indicated interest in buying shares, as did some directors. The prospectus says those indications are not binding, and that the amount could be a significant portion of the offering. After the offering, Larimar would have 100,590,392 common shares outstanding, or 103,590,392 if the underwriters exercise their option in full.

### Cash, runway and the going concern warning

Larimar estimated cash, cash equivalents and marketable securities of $136.9 million at December 31, 2025. The prospectus says current resources fund operations into the fourth quarter of 2026. That, it says, creates substantial doubt about the company's ability to continue as a going concern, unless it raises enough money through this offering and other means. If it does not, the company expects to say so in its 2025 annual report, and expects its auditor's opinion to carry a going concern paragraph. The preliminary cash figures are unaudited, and PricewaterhouseCoopers LLP has not audited them.

That is a sharp change from the position in the company's 2024 annual report, which put cash, cash equivalents and marketable securities at $183.5 million at December 31, 2024 and said that amount would fund operations into the second quarter of 2026. The company's use of proceeds is to support development of its lead drug candidate, nomlabofusp, together with working capital, research and development and commercialization costs.

### The lead drug and its record

Nomlabofusp is designed to deliver frataxin to the mitochondria of patients with Friedreich's ataxia, a rare and progressive disease. In the Phase 2 dose exploration study, the 25 mg cohort had 13 participants and the 50 mg cohort had 15, randomized 2:1 to drug or placebo over four weeks. The company's main evidence is that tissue frataxin levels rose, which is a surrogate measure. In the open-label extension, two participants had serious adverse events, one seizure and one anaphylactic reaction. Both resolved within 24 hours, and both withdrew from the study.

The share count also reflects the conversion of 5,000,000 shares of common stock into 500,000 shares of Series A convertible preferred stock in December 2025 and January 2026.
