Tickers [KYNB](https://aibio.space/companies/kyntra-bio/)

Kyntra Bio, formerly FibroGen, says it must advance legal costs for an SEC case against its former chief medical officer and may have to cover some costs and judgments. It had accrued about $7.0 million for those obligations at June 30, 2026, up from an amount it called not material three months earlier.

Kyntra Bio, Inc. (Nasdaq: [KYNB](https://aibio.space/companies/kyntra-bio/)), the company formerly named FibroGen, said in its [10-Q filed August 13, 2026](https://www.sec.gov/Archives/edgar/data/921299/000119312526349183/kynb-20260630.htm) that there is one SEC complaint pending in U.S. District Court against its former chief medical officer. The defendant is that former officer. Kyntra is not a party to the proceeding, and its filings do not name the officer, the court district or a case number.

Under an indemnification agreement with the former officer, Kyntra is obligated to advance certain legal expenses and may be required to indemnify certain costs and judgments. Its accrued liabilities for these obligations were approximately $7.0 million at June 30, 2026, based on its best estimate. The [10-Q for the first quarter](https://www.sec.gov/Archives/edgar/data/921299/000119312526219374/kynb-20260331.htm) had said the accrued amount was not material at March 31, 2026.

## A cost that jumped in one quarter

The change came within three months. In the first-quarter report, Kyntra said it could not estimate future indemnification costs because of "the early stage of the litigation" and uncertainty about the duration, scope and outcome of the proceedings. The second-quarter report drops the early-stage wording but still says Kyntra cannot reasonably estimate the total amount of future indemnification costs beyond what it has accrued.

The risk factors moved the same way. The company's [2025 annual report](https://www.sec.gov/Archives/edgar/data/921299/000119312526108346/kynb-20251231.htm) said costs in the one ongoing proceeding against a former officer "could be material but are uncertain at this time." The second-quarter 10-Q says those costs "are now material."

The 10-Q also says certain judgments, settlements or fines sought by the SEC would not be covered by the company under the indemnification agreement. It does not say which ones, or what share of the officer's possible exposure falls outside the agreement. Kyntra says its insurance does not cover all types and amounts of potential liabilities, is subject to exclusions and caps, and that insurers may dispute coverage.

## Earlier cases over the same history

This is not the company's first securities matter. In May 2025 it settled with the SEC, without admitting or denying the findings, and agreed to pay a $1.25 million civil penalty. Its [September 2025 10-Q](https://www.sec.gov/Archives/edgar/data/921299/000119312525274241/fgen-20250930.htm) says the Commission approved the agreement in September 2025, and the first-quarter 2026 report says the company has been making payments on the agreed schedule.

Securities class action complaints were filed against the company and certain of its former executive officers in the U.S. District Court for the Northern District of California. The parties agreed in principle on October 17, 2023 to settle at $28.5 million, and the amount was fully distributed during the first quarter of 2025. The filings say the settlement was covered by insurance, and they do not name the former officers. Between 2022 and 2024 the board received seven litigation demands from purported shareholders asking it to act against certain current and former officers and directors on the same allegations. Those demands have been withdrawn.

## The company now

FibroGen changed its name to Kyntra Bio, Inc. effective January 7, 2026, according to an [8-K](https://www.sec.gov/Archives/edgar/data/921299/000119312526006327/fgen-20260107.htm), and its shares began trading as KYNB on January 8, 2026. The company describes the change as a step in its move to focus on oncology and rare disease assets. Its lead program is FG-3246, an antibody-drug conjugate targeting CD46 for metastatic castration-resistant prostate cancer, in a Phase 2 dose optimization study that began in the third quarter of 2025. That is mid-stage work with no approval in hand.

On August 29, 2025 the company closed the sale of its China operations, including its roxadustat assets there, for total consideration of $220.4 million. That sale drives its 2025 accounts: net income of $183.5 million for the year, against revenue of $6.4 million. At June 30, 2026, Kyntra held cash and cash equivalents of $50.6 million and short-term investments of $40.7 million. It says its existing cash will fund planned operations for at least the 12 months following the issuance of its June 30, 2026 financial statements. The $7.0 million accrual sits against that cash, and the company says it cannot put a ceiling on what comes next.
