## The shelf and the sales program

Korro Bio, Inc. (Nasdaq: [KRRO](https://aibio.space/companies/korro-bio/)) filed a Form S-3 shelf registration statement with the SEC on December 2, 2024. It covers debt securities, common stock, preferred stock, units and warrants, with a total offering amount of up to $400,000,000 that the company may sell in one or more offerings. Each offering would come with a prospectus supplement giving its specific terms.

Within that shelf, Korro signed a sales agreement dated December 2, 2024 with TD Securities (USA) LLC, which the filing calls TD Cowen. Under it, Korro may sell up to $100,000,000 of common stock through or to TD Cowen, acting as sales agent or principal, in an at-the-market offering at prevailing market prices. TD Cowen is not required to sell any specific amount. The filing says the stock trades on the Nasdaq Capital Market under KRRO and that the last reported sale price on November 29, 2024 was $52.06 per share.

The shelf itself names no underwriter for future offerings and says that any agent that could be viewed as an underwriter will be named in the prospectus supplement for that offering. Goodwin Procter LLP is named as counsel to Korro, with Kingsley L. Taft and Marianne Sarrazin listed. Ernst & Young LLP's consent is listed as an exhibit.

## Terms, costs and use of the money

TD Cowen's compensation is up to 3.0% of the gross sales price of shares it sells. Korro agreed to reimburse TD Cowen up to $175,000 of its outside legal expenses for the filing. Korro estimates its own offering expenses, excluding the TD Cowen commissions, at about $638,000.

Korro says it intends to use net proceeds from any securities sold under the shelf for general corporate purposes, unless a prospectus supplement says otherwise. Those purposes may include working capital, capital expenditures, research and development costs including clinical trial costs, general and administrative expenses and possible acquisitions or investments. The filing says Korro has not determined how much of the net proceeds will go to any specific purpose.

The filing does not give a cash balance, a net loss figure or a runway estimate. It incorporates other reports the company has filed by reference, so its current financial position is not set out in this document.

## The business behind the money

Korro describes itself as a clinical-stage biopharmaceutical company building genetic medicines based on editing RNA rather than DNA. Its platform is called Oligonucleotide Promoted Editing of RNA, or OPERA. The most advanced program is KRRO-110, a development candidate for alpha-1 antitrypsin deficiency, or AATD, which Korro says it is repairing at the RNA level.

In November 2024, Korro received approval from the Australian Bellberry Human Research Ethics Committee and clearance from the Australian Therapeutic Goods Administration to start a Phase 1/2 trial of KRRO-110 in Australia. The filing expects an interim data readout in the second half of 2025 and completion of the trial in 2026. Korro also names severe alcoholic hepatitis, amyotrophic lateral sclerosis and pain as other programs.

The filing is cautious about the technology. It says the scientific evidence supporting RNA editing is "both preliminary and limited," that regulators have not set definitive development guidelines for RNA editing therapies, and that limited clinical data exist to date. Korro has funded operations mainly through private placements of equity, has incurred significant operating losses since inception, and expects negative operating cash flows for the foreseeable future. It has no approved products and no product revenue. Its net losses may swing from quarter to quarter, the filing says, depending on study timing and spending.
