## The terms

Korro Bio, Inc. (Nasdaq: [KRRO](https://aibio.space/companies/korro-bio/)) said on March 9, 2026 that it had signed a subscription agreement for a private investment in public equity, or PIPE, expected to bring in gross proceeds of about $85 million before placement agent fees and offering expenses. The company expects the deal to close on or about March 10, 2026, subject to customary closing conditions. Korro calls the round oversubscribed.

Korro is selling 4,501,928 shares of common stock at $11.11 per share. It is also selling pre-funded warrants for 3,148,836 shares at $11.109 per warrant, with an exercise price of $0.001 per share. The release does not give the number of shares outstanding before the deal, so the dilution cannot be measured from it.

Korro also signed a registration rights agreement with the investors. It has agreed to file a registration statement with the SEC covering resale of the common shares and of the shares issuable on exercise of the pre-funded warrants. The release does not say when that filing is due.

## The investors and the agents

Venrock Healthcare Capital Partners led the round, and the release describes it as a new investor. It says new and existing investors also took part, naming ADAR1 Capital Management, Affinity Asset Advisors, Balyasny Asset Management, Driehaus Capital Management, Kalehua Capital, Lynx1 Capital Management, Nantahala Capital and New Enterprise Associates.

Citigroup, Cantor, Oppenheimer & Co. and William Blair are acting as placement agents for the PIPE. The release does not say which of them is lead or sole agent, and it gives no fees for any of them. It does not name counsel to Korro or to the agents.

## What the money is for

Korro says the net proceeds, together with unaudited cash, cash equivalents and marketable securities of $85.2 million at December 31, 2025, will extend its cash runway into the second half of 2028. The release says the funding is meant to pay for clinical development milestones, including clinical data for KRRO-121 and for the GalNAc-conjugated program in alpha-1 antitrypsin deficiency, or AATD. Both are described as "subject to regulatory filings," and the release gives no dates for those filings.

The release also says the money will advance a longevity and liver health program that targets activation of the AMPKγ1 pathway. The remainder is for working capital and general corporate purposes. The release does not say how the proceeds are split among those uses.

The $85.2 million figure is unaudited. The release's forward-looking statements list the completion of the year-end audit and the finalization of audited financials among the factors that could change results. So the year-end cash position that the runway figure depends on has not yet been audited.

## The program behind the raise

The company's annual report, filed in March 2025, describes a Phase 1/2a trial called REWRITE for KRRO-110, then Korro's lead product candidate for AATD, and refers to the drug's "best-in-class" potential, which is the company's own word. The March 2026 release does not mention KRRO-110 or REWRITE. It names only a GalNAc-conjugated AATD program. The annual report's forward-looking statements also say its cash runway depends on its ability to reach meaningful clinical data readouts and inflection points.

The release describes Korro as a company developing genetic medicines based on editing RNA, using its OPERA platform, with the aim of delivering a single, precise, transient base edit. It says the approach has the potential for increased specificity and improved long-term tolerability, and that the platform relies on oligonucleotide drugs that have approved delivery modalities and regulatory pathways. The release does not describe any safety or efficacy results from the trials.

Korro is based in Cambridge, Massachusetts. The release's investor and media contact is Malini Chatterjee of Blueprint Life Science Group.

## Where the raise leaves the company

The release sets the raise against a runway into the second half of 2028, but it gives no net loss, no cash burn and no cash balance as of the closing date. The audited year-end figures are not in the release either.
