## The terms

Kazia Therapeutics Limited (Nasdaq: [KZIA](https://aibio.space/companies/kazia-therapeutics/)) announced on December 2, 2025 that it had signed a securities purchase agreement for a private placement of equity securities, known as a PIPE. The company agreed to sell approximately $50.0 million of ordinary shares and prefunded warrants at a price equal to $5.00 per American depositary share (ADS). Each ADS represents 500 ordinary shares, the same ratio given in the company's most recent annual report on Form 20-F.

Kazia describes the PIPE as a straightforward equity investment with no common warrant coverage. Prefunded warrants are part of the deal, however, and they can be exercised into shares. The release does not give the number of ADSs or shares sold, so the dilution cannot be measured from it. Closing was expected on Wednesday, December 3, 2025, subject to customary closing conditions.

Net proceeds are expected to be approximately $46.5 million after placement agent fees and other estimated offering expenses. The release does not break out those fees or expenses.

## Investors, banks and resale terms

The PIPE was led by Adar1 Capital Management LLC, Ikarian Capital LLC, Stonepine Capital Management, Velan Capital Investment Management LP and Revach Capital Management, LLC, alongside existing shareholders, including Jorey Chernett. Konik Capital Partners, LLC is the exclusive placement agent. The release names no other financial adviser, underwriter or counsel on the transaction.

The securities were not registered under the Securities Act of 1933, as amended, and may not be offered or sold in the United States without a registration statement or an exemption. Kazia agreed to file a shelf registration statement with the SEC within 30 days of closing to register the resale of the ADSs and of the ADSs underlying the prefunded warrants.

## What the money is for

Kazia intends to use the net proceeds, together with existing cash, cash equivalents and marketable securities, to support clinical development of its lead program, paxalisib, to advance its PD-L1 degrader program, and for general corporate purposes. The company expects the proceeds, combined with existing cash and cash equivalents, to extend its cash runway into the second half of 2028.

Paxalisib is described in the release as a brain-penetrant dual PI3K/mTOR inhibitor in clinical trials for both brain cancer and advanced breast cancer. A Phase 1b trial is evaluating it with checkpoint inhibition and chemotherapy in advanced triple-negative breast cancer. EVT801, a selective VEGFR3 inhibitor, is in a Phase 1 trial for advanced solid tumors. The release reports no efficacy results from either trial.

The earlier clinical data for paxalisib come from a phase I trial that Genentech completed in 47 patients with advanced recurrent grade III and grade IV glioma. The most common adverse events were oral mucositis and hyperglycemia. Using ANO criteria, 40% of patients had stable disease as their best observable response, and 26% showed a metabolic partial response on FDG-PET. Those are early figures from a small study.

## The cost base

For the fiscal year ended June 30, 2025, the annual report on Form 20-F shows revenue of AUD 42,000, against AUD 2.3 million in the prior year. Research and development expense fell to AUD 7.3 million from AUD 17.4 million, and the net loss narrowed to AUD 20.7 million from AUD 26.8 million.

Cash used in operations rose, however, to AUD 13.3 million from AUD 9.6 million, even as research and development spending fell. The release does not give the company's cash balance at June 30, 2025.

The company is listed on the Nasdaq Capital Market, where its ADSs trade under KZIA. Its most recent annual report describes it as an emerging oncology-focused biotechnology company.
