## Pricing and proceeds

Kailera Therapeutics, Inc. priced its initial public offering at $16.00 per share, according to a prospectus dated April 16, 2026. The Waltham, Massachusetts company is offering 39,062,500 shares of common stock, for $625,000,000 before fees. The underwriters' discount is $1.12 a share, or $43,750,000 in total, which leaves $14.88 a share, or $581,250,000, to Kailera before expenses.

Kailera estimates net proceeds of about $575.0 million after the discount and offering expenses. If the underwriters exercise their option in full, the figure rises to about $662.1 million. The option covers 5,859,375 additional shares and runs for 30 days. The underwriters expect to deliver the shares against payment on or about April 20, 2026. After the offering, the filing shows 123,677,939 shares outstanding.

J.P. Morgan, Jefferies, Leerink Partners, TD Cowen and Evercore ISI are joint book-running managers, and William Blair is lead manager. The prospectus names no placement agent or other financial advisor for the offering.

## Existing holders may take a large share

Existing stockholders have signaled interest in a large part of the deal, though the indications are not commitments. Entities affiliated with Bain Capital Private Equity, Bain Capital Life Sciences and Qatar Investment Authority have given non-binding indications of interest to buy up to about $225 million of shares at $16.00. The underwriters could sell those holders more, fewer or no shares. Each share they buy is one fewer for the general public.

## The lead drug is still in Phase 3

The proceeds are meant mainly to fund ribupatide, also known as KAI-9531, and oral ribupatide, plus KAI-7535. The rest goes to other research, including KAI-4729, and to working capital. Ribupatide is a once-weekly injectable GLP-1/GIP receptor dual agonist that Jiangsu Hengrui Pharmaceuticals Co., Ltd. developed in China. Kailera holds rights outside Greater China, Hong Kong, Macau and Taiwan, and it owes Hengrui milestone payments and royalties under the Hengrui License Agreement.

The efficacy data come mostly from Hengrui's trials in China. In one, 12 weeks at the 8 mg dose lowered weight by a mean of 23.6% from baseline, compared with a 1.8% reduction with placebo. That result used the efficacy estimand, which leaves out data collected after participants stopped treatment early or started other weight-loss drugs. The Phase 3 KaiNETIC program tests 4 mg, 6 mg, 8 mg and 10 mg doses over 76 weeks. Kailera expects topline results from KaiNETIC-2 and KaiNETIC-3 in 2028.

The prospectus concedes that Kailera has not run head-to-head trials of ribupatide against approved products or drugs in development. Its claim that the drug was designed to beat tirzepatide rests on laboratory binding studies, in which it showed 3x GLP-1 receptor binding affinity and 0.5x GIP receptor binding affinity compared with tirzepatide.

## Losses and capital

Kailera has lost money in every period it has reported. For the period from May 8, 2024 (inception) to December 31, 2024, the net loss was $219,713 thousand, including $214,070 thousand of acquired in-process research and development tied to the Hengrui License. For the year ended December 31, 2025, the net loss was $148,955 thousand, with research and development expenses of $109,113 thousand.

The prospectus warns that raising more money may dilute stockholders, including buyers in this offering. Kailera says it expects to finance operations through equity offerings, debt financings, royalty financings and other sources. Its management will have broad discretion over the net proceeds, and pending use the money may sit in interest-bearing obligations that the filing says may not yield a favorable return. The company says it has raised $900 million from investors since inception.

## What comes next

The next dated milestones are the April 20, 2026 delivery of the shares and the 30-day window for the option. The clinical readouts are further off. Kailera expects topline data from KaiNETIC-2 and KaiNETIC-3 in 2028, and the Phase 2b trial of about 250 participants is still testing higher doses. Until then, the weight-loss evidence rests on a Chinese trial analyzed with an estimand that leaves out data after early discontinuation, and on comparisons that no head-to-head trial has tested.
