Nasdaq says the stock closed below $1.00 for 30 consecutive business days and that its market value of listed securities stayed below $35 million. The company has until August 25, 2026 on both, and its auditor has raised going-concern doubt.

Jupiter Neurosciences, Inc. (Nasdaq: [JUNS](https://aibio.space/companies/jupiter-neurosciences/)) disclosed on February 27, 2026 that it received two Nasdaq deficiency notices on February 26, 2026, one for its share price and one for its market value. The company reported them in a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1679628/000149315226008344/form8-k.htm) under Item 3.01. Nasdaq's Listing Qualifications Department found that the closing bid price had been below $1.00 per share for the previous 30 consecutive business days, and that the market value of listed securities had closed below the $35 million threshold for the 30 consecutive business days ended February 26, 2026.

## The bid price notice

The first notice cites Nasdaq Listing Rule 5550(a)(2), the minimum bid price requirement. The 30 business days counted ran from January 13, 2026 through February 25, 2026. The company has 180 calendar days, until August 25, 2026, to cure. It regains compliance if the bid price is at least $1.00 for a minimum of 10 consecutive business days.

If the company does not cure by August 25, 2026, it may be eligible for more time or may face delisting. To get more time it must meet the market value requirement and all other initial listing standards for the Nasdaq Capital Market except the bid price, and give written notice that it intends to cure in the second period by a reverse stock split, if necessary. If Nasdaq concludes the company cannot cure, or it is not eligible, Nasdaq will give notice that the stock is subject to delisting, which the company may appeal to a hearings panel.

## The market value notice

The second notice cites Rule 5550(b)(2), which requires a market value of listed securities of $35 million. Under Rule 5810(c)(3)(C) the company again has until August 25, 2026. It cures by closing at or above $35 million for a minimum of 10 consecutive business days in that window. Unlike the bid price notice, the filing describes no second compliance period for this one. If the company fails, Nasdaq staff will notify it that the stock is subject to delisting, and it may appeal to a hearings panel.

## What the company says it will do

The notices have no immediate effect, and the stock continues to trade on the Nasdaq Capital Market under "JUNS". The company says it will actively monitor its bid price and market value and consider options to regain compliance, including a reverse stock split. It says there can be no assurance it will keep the listing. Chief Executive Officer Christer Rosén signed the 8-K.

## A recent listing and a going-concern warning

Jupiter is a young listing. Its annual report for 2024, filed March 28, 2025, says that in December 2024 it received gross proceeds of $11 million in a registered public offering of 2,750,000 shares at $4.00 per share, before underwriting discounts and expenses, and that its stock then began trading on the Nasdaq Capital Market. The 8-K does not give the current share price or market value.

The same report says management has concluded that its recurring losses, negative cash flows from operations and dependence on private equity and other financings raise substantial doubt about its ability to continue as a going concern, and that its auditor included an explanatory paragraph for the years ended December 31, 2024 and 2023. It reports no revenue from product sales and expects to need substantial additional capital.

## What it is developing

Jupiter calls itself a clinical stage research and development company. Its platform product, JOTROL, is an enhanced oral formulation of resveratrol, aimed at neuro-inflammation. The primary target is Parkinson's disease, followed by mild cognitive impairment and early Alzheimer's disease.

The evidence is early. The company's belief that JOTROL can deliver a therapeutic dose without severe side effects rests on a Phase I trial at the University of Miami completed in 2021, and its Parkinson's work on a mouse model. The annual report said a first Phase IIa study in patients was expected to start in the third quarter of 2025, with results about 12 months later,.
