Jupiter Neurosciences, Inc. (Nasdaq: [JUNS](https://aibio.space/companies/jupiter-neurosciences/)) filed a notice of late filing with the Securities and Exchange Commission for its quarterly report on Form 10-Q for the period ended June 30, 2025. The [notice](https://www.sec.gov/Archives/edgar/data/1679628/000164117225024108/formnt10-q.htm) is on Form 12b-25 and is signed by chief executive Christer Rosén on August 14, 2025.

## What the notice says

The company said it was unable, without unreasonable effort or expense, to file the 10-Q within the period that applies to smaller reporting companies because it "requires additional time to complete the presentation and review of its financial statements and related disclosures." It anticipates filing the 10-Q no later than the fifth calendar day after the prescribed filing date. The form allows that extension for a quarterly report. It allows 15 calendar days for an annual report. Rosén is also the named contact on the form, which gives the company's address as 1001 North US Highway 1, Suite 504, Jupiter, Florida.

Jupiter ticked the box saying that all other periodic reports required during the preceding 12 months have been filed. It also answered no when asked whether it anticipates any significant change in results of operations from the corresponding period of the last fiscal year.

## What the notice leaves out

The notice does not say which statements or disclosures need more work, whether the company's auditor is involved, or whether the delay relates to the going concern assessment, to its financing or to any accounting question. It gives no estimate of the quarter's net loss or cash, and it does not say whether Jupiter still expects to file within the five-day window if the work runs long. A reader has to wait for the 10-Q to learn the June 30 numbers.

## The last annual figures

The most recent annual report, filed March 28, 2025, shows what the quarterly report will be measured against. For 2024 and 2023, Jupiter generated no revenue from product sales and reported net losses of $2,439,625 and $4,783,689. Net cash used in operating activities was $3,911,004 in 2024 and $480,953 in 2023, and cash at the end of 2024 was $3,769,510.

Net cash from financing was $7,652,036 in 2024. The report ties the increase mainly to the company's initial public offering, partly offset by repayments of notes payable of $2,361,677. The report says there is substantial doubt about the company's ability to continue as a going concern, because of recurring losses, negative operating cash flow and dependence on financings, and the auditor included an explanatory paragraph on the issue for both years.

Jupiter says it anticipates needing substantial additional capital and lists the scope and cost of its clinical programs, manufacturing, regulatory review and public company costs among the factors. It warns that issuing equity would dilute stockholders, that debt could carry restrictive covenants, and that failure to raise money could force it to delay, reduce or end development programs or to license rights it would prefer to keep.

## Where the money has gone

The annual report says operating cash use rose by $3,430,051 in 2024. Among the causes it lists is an increase of $2,300,000 in prepaid contracts due to stock issuances associated with its Asian business development service agreements. The company began business development in Asia in October 2021 and says it believes the strategy is cost effective and could speed an out-licensing deal in South-East Asia, with no assurance of success.
