Jasper Therapeutics, Inc. ([JSPR](https://aibio.space/companies/jasper-therapeutics/)) said on June 9, 2026 that it received a Nasdaq notice on June 3, 2026 because the bid price of its voting common stock closed below the minimum $1.00 per share for the last thirty consecutive business days. The company reported the minimum bid price deficiency in a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1788028/000121390026066782/ea0294010-8k_jasper.htm). It has until November 30, 2026 to regain compliance, and the notice has no immediate effect on trading.

## What Nasdaq told the company

The written notice came from The Nasdaq Stock Market LLC. It says the voting common stock failed to meet the $1.00 per share requirement for continued listing on the Nasdaq Capital Market under Nasdaq Listing Rule 5550(a)(2). Under Nasdaq Listing Rule 5810(c)(3)(A), Jasper has an initial period of 180 calendar days to regain compliance.

Nasdaq staff will confirm compliance in writing if, at any time before November 30, 2026, the bid price closes at $1.00 per share or more for at least ten consecutive business days. The voting common stock and the public warrants continue to trade on the Nasdaq Capital Market under the symbols "JSPR" and "JSPRW".

## If the deadline passes

If Jasper does not regain compliance by November 30, 2026, it may be eligible for an additional 180 calendar day period. To qualify, it would need to meet the market value of publicly held shares requirement and all other initial listing standards, and to give Nasdaq written notice that it intends to cure the deficiency by effecting a reverse stock split, if necessary.

If Nasdaq concludes the company cannot cure the deficiency, or is not otherwise eligible, its securities would be subject to delisting. Jasper could appeal, but the filing gives no assurance that Nasdaq staff would grant continued listing. The company says it will monitor the bid price and consider options, which may include a reverse stock split. The filing names a reverse stock split twice, as an option and as the way to cure the deficiency in a second period.

## Cash, losses and the workforce

The 10-K, filed March 30, 2026, reports a net loss of $75.8 million for 2025, against $71.3 million for 2024. Cash used in operations was $77.2 million in 2025 and $62.6 million in 2024. Research and development expense was $63.1 million for 2025 and $55.8 million for 2024. The accumulated deficit was $316.7 million at December 31, 2025.

The 10-K states that, given its recurring losses and negative cash flows and its current operating plan, the company has concluded there is substantial doubt about its ability to continue as a going concern within one year from the filing date. Its forward-looking statements also refer to the expected cost savings from a reduction in force tied to a corporate reorganization. The company has an Open Market Sale Agreement with Jefferies LLC as sales agent, under which it may sell shares from time to time, which dilutes existing holders.

## The BEACON data and the investigation

Jasper is a clinical-stage biotechnology company focused on mast cell driven diseases, including chronic spontaneous urticaria (CSU), chronic inducible urticaria and asthma. Its lead candidate, briquilimab, is a monoclonal antibody designed to block stem cell factor from binding to the CD117 (KIT) receptor. The company has discontinued earlier programs in stem cell transplant conditioning.

The 10-K describes the Phase 1b/2a BEACON study of briquilimab in CSU, which began in late 2023. The company calls the BEACON data generally positive. But it also says that in a July 2025 data update, the 240mg Q8W and 240mg/180mg Q8W cohorts showed an atypical absence of UAS7 reduction in 11 of the 13 patients enrolled. Jasper then launched an investigation into those two cohorts, looking at site conduct, dosing procedures and patient selection. It enrolled an additional 10 patients across the two cohorts.

The company reported in December 2025 that the investigation concluded the anomalous results were not caused by the product or its manufacturing, but by an issue with patient selection at certain clinical sites. Expert panels of key opinion leaders reviewed those findings. The company's conclusion therefore depends on its own investigation and on how the two cohorts are read.
