Jaguar Health, Inc. (Nasdaq: [JAGX](https://aibio.space/companies/jaguar-health/)) issued an aggregate of 481,584 shares of common stock to Streeterville Capital, LLC in exchange for a $3,400,000 reduction in the outstanding balance of a secured promissory note, according to a [Form 8-K](https://www.sec.gov/Archives/edgar/data/1585608/000119312526403356/d187815d8k.htm) dated September 28, 2026.

## The exchange

The company signed privately negotiated exchange agreements with Streeterville on September 25, 2026. The note was sold to Streeterville on January 19, 2021, in an original principal amount of $6,220,812.50, under a note purchase agreement between the same parties. The filing calls it the 2021 Note and describes it as amended. It does not say what balance remains after the $3,400,000 reduction, and it gives no interest rate or maturity date.

The filing also states no per-share price for the exchange, so it does not show the value at which the shares were credited against the note. It says only that the agreements contain representations, warranties and covenants customary for a transaction of this type, and it files the form of the agreement as Exhibit 10.1.

The shares were issued without registration, in reliance on the exemption in Section 3(a)(9) of the Securities Act of 1933. The filing describes a swap of debt for equity and reports no new money raised. It names no bank, placement agent, financial advisor or counsel on either side.

In a separate item, the company said it had approximately 1,945,542 shares of common stock issued and outstanding as of September 25, 2026. The filing does not say whether that count includes the 481,584 new shares.

## The company

Jaguar says that, with its subsidiary Napo Pharmaceuticals, Inc., it develops novel proprietary prescription drugs sustainably derived from plants for people with complicated gastrointestinal disease states. Napo and Napo Therapeutics, S.p.A., an Italian corporation Jaguar established in Milan in 2021, are focused on expanding global access to crofelemer and on new therapies for orphan and rare gastrointestinal conditions. Magdalena Biosciences, a joint venture formed by Jaguar and Filament Health Corp., is focused on medicines derived from plants for mental health indications.

Napo's crofelemer 125 mg delayed-release tablets, sold as Mytesi, are approved by the U.S. Food and Drug Administration for the symptomatic relief of noninfectious diarrhea in adults with HIV/AIDS on antiretroviral therapy. The annual report also refers to a January 2026 United States licensing agreement between Napo and an affiliate of privately held Future Pak, LLC.

Jaguar was founded in San Francisco as a Delaware corporation on June 6, 2013, to develop products for companion animals. It was a majority-owned subsidiary of Napo until its initial public offering closed on May 18, 2015. It merged with Napo on July 31, 2017, and changed its name from Jaguar Animal Health, Inc. to Jaguar Health, Inc.

## The finances

The annual report for 2025, filed on April 7, 2026, shows a company that spends far more than it collects. For the year ended December 31, 2025, Jaguar reported revenue of $11.5 million, against $11.7 million in 2024. Research and development expense was $25.0 million, up from $16.5 million. The net loss was $53.6 million, up from $38.5 million. Cash used in operations was $23.7 million, compared with $29.4 million in 2024.

Cash and cash equivalents stood at $968,000 at the end of 2025, down from $8.0 million a year earlier. At June 30, 2026, they were $3.8 million, according to the quarterly report. Next to a net loss of $53.6 million, those balances are small.

## What the filing leaves out

The 8-K gives no total of Jaguar's debt, no list of its other lenders and no indication of whether more exchanges are planned.
