Ironwood Pharmaceuticals, Inc. (Nasdaq: [IRWD](https://aibio.space/companies/ironwood-pharmaceuticals/)) received a deficiency letter from Nasdaq's Listing Qualifications Department on May 28, 2025. The letter says the bid price of its Class A common stock closed below the $1.00 minimum for 30 consecutive business days, in breach of Nasdaq Listing Rule 5450(a)(1). The company disclosed the letter in a [Form 8-K filed June 3, 2025](https://www.sec.gov/Archives/edgar/data/1446847/000110465925055958/tm2516903d1_8k.htm) under Item 3.01.

## The compliance period

The letter applies the minimum bid price requirement for continued inclusion on the Nasdaq Global Select Market. Under Nasdaq Listing Rule 5810(c)(3)(A), the company has 180 calendar days, or until November 24, 2025, to regain compliance. To do so, the bid price must close at $1.00 or more for at least 10 consecutive business days. Nasdaq staff can use discretion to extend that ten-day period.

If the company does not regain compliance by November 24, 2025, it may be eligible for a further 180-day period, but only if it transfers the listing of its common stock to the Nasdaq Capital Market and meets that market's requirements. If staff conclude the deficiency cannot be cured, or the company does not apply to transfer or tell staff it intends to cure, staff will issue a delisting notice. The company could then appeal that decision. The 8-K says the letter has no immediate effect on the listing of the company's securities on Nasdaq.

The 8-K identifies the security as the Class A common stock, par value $0.001 per share, which the 10-K lists under the symbol IRWD on the Nasdaq Global Select Market. The filing is a plain notice. It does not describe a plan to raise the bid price, such as a reverse stock split.

## Revenue depends on one partner

The 2024 annual report on Form 10-K shows total revenues of $351,410 thousand for 2024, down from $442,735 thousand in 2023. The statement of operations reports a single revenue line, collaborative arrangements revenue. The company says it derives a significant portion of its revenue from its LINZESS collaboration with AbbVie in the United States, and that it expects revenue from that collaboration to continue.

Net income attributable to Ironwood was $880 thousand for 2024. That follows a net loss attributable to the company of $1,002,239 thousand in 2023. The 10-K also refers to subsequent events on workforce reductions and restructuring, described in Note 16.

## Debt that comes due

The company says it has financed its business mainly through equity, collaboration and license deals, and debt. Two instruments stand out. It has $200.0 million of 1.50% convertible senior notes due in 2026. It also has a $550.0 million secured revolving credit facility. The 10-K names both as part of how the business has been funded.

The convertible notes fall due in 2026. Neither the 8-K nor the 10-K says how they will be repaid.

## Shares and buybacks

Ironwood's share repurchase program of up to $150.0 million, authorized in May 2021, was completed in May 2022, and the repurchased shares were retired. The 8-K gives no bid price figure other than the threshold.

## What comes next

The next date is November 24, 2025. Before then the company must either lift the bid price above $1.00 for 10 consecutive business days, transfer to the Capital Market, or accept a delisting notice that it could appeal. The 8-K gives no timeline for those choices.
