The picture shows the field, not the companies named.* Iovance Biotherapeutics (Nasdaq: [IOVA](https://aibio.space/companies/iovance-biotherapeutics/)) said in its [10-Q filed August 6, 2026](https://www.sec.gov/Archives/edgar/data/1425205/000110465926091716/iova-20260630x10q.htm) that a consolidated securities class action against it is pending in the U.S. District Court for the Northern District of California, with three shareholder derivative suits on hold behind it. The class action is captioned In re Iovance Biotherapeutics, Inc. Securities Litigation, No. 25-cv-04177. It began on May 15, 2025 as two cases, Sundaram v. Iovance Biotherapeutics, Inc., et al., No. 25-cv-04177, and Farberov v. Iovance Biotherapeutics, Inc., et al., No. 25-cv-04199. The class action defendants are Iovance and "certain of the Company's officers", whom the 10-Q does not name. Iovance's [proxy statement filed April 29, 2024](https://www.sec.gov/Archives/edgar/data/1425205/000155837024006148/iova-20240611xdef14a.htm), shortly before both class periods began, lists Frederick G. Vogt as interim chief executive officer and president since June 10, 2021 and Jean-Marc Bellemin as chief financial officer since December 2020. Both signed the [10-K filed February 27, 2025](https://www.sec.gov/Archives/edgar/data/1425205/000155837025001834/iova-20241231x10k.htm) in those roles. The derivative suits are captioned Hollin v. Vogt, et al., Gera, et al. v. Vogt, et al. and Bitton v. Bellemin, et al., so the captions name Vogt and Bellemin as defendants. Iovance is a nominal defendant in all three. ## The case The class action complaints assert claims under Section 10(b) of the Securities Exchange Act of 1934, SEC Rule 10b-5 and Section 20(a). The cases arise from Iovance's quarterly results on May 8, 2025 and the fall in its share price the next day. The plaintiffs allege that during the class periods the defendants made materially false and misleading statements about expected revenue for fiscal year 2025, and they claim this inflated the stock price. Sundaram covers people who acquired Iovance common stock between August 8, 2024 and May 8, 2025. Farberov covers May 9, 2024 to May 8, 2025. The suits seek compensatory damages and costs, including attorneys' fees. The derivative suits were filed in the same court on June 5, 2025 (Hollin and Gera) and November 12, 2025 (Bitton, No. 3:25-cv-09701). They are brought on Iovance's behalf and rest on similar allegations. The plaintiffs claim the individual defendants breached fiduciary duties and violated Section 14(a) by issuing, or causing Iovance to issue, false and misleading disclosures about its fiscal 2025 financial forecasts. They did not make a demand on the board first. They seek money damages, corporate governance reforms, restitution, punitive damages and legal costs. ## Defendants In the class action, the defendants are Iovance and unnamed officers. In the derivative suits, they are "certain current and former officers and directors" of Iovance, with Iovance as nominal defendant. The captions name Vogt (Hollin and Gera) and Bellemin (Bitton); the 10-Q lists no other individuals. Iovance's board when the first derivative complaints were filed, according to its [proxy statement filed April 28, 2025](https://www.sec.gov/Archives/edgar/data/1425205/000155837025005702/iova-20250610xdef14a.htm), had seven directors: Iain Dukes, Athena Countouriotis, Ryan Maynard, Wayne P. Rothbaum, Frederick G. Vogt, Michael Weiser and Wendy Yarno. Apart from Vogt, the filings do not say which of them are defendants. Corleen Roche signed the 10-Q as chief financial officer. ## Where it stands On December 15, 2025 the court consolidated the class actions and appointed a lead plaintiff and plaintiffs' counsel. The same day it consolidated the derivative suits as In re Iovance Biotherapeutics, Inc. Derivative Litigation, No. 5:25-cv-04740, and appointed a co-lead plaintiff and counsel. On March 24, 2026 the court granted a stipulation staying the derivative litigation until the securities litigation is resolved. The securities plaintiff filed a consolidated amended complaint on April 15, 2026, and Iovance moved to dismiss it on June 15, 2026. The 10-Q reports no ruling. ## Why it matters to shareholders Iovance says that given the preliminary stage of the proceedings, "the outcomes remain uncertain" and it cannot estimate the potential impact on its business or financial statements. The 10-Q gives no accrual and no range of loss for these actions. More generally, it says management does not believe any pending matter will have a material adverse effect on its financial position, results of operations or cash flows. ## Related matters The same note describes two derivative suits in the Delaware Court of Chancery, over director pay and a February 2024 stock offering, and a contract dispute with Solomon Capital in New York.
