Iovance Biotherapeutics (Nasdaq: [IOVA](https://aibio.space/companies/iovance-biotherapeutics/)) is defending two stockholder derivative suits in the Delaware Court of Chancery, according to its [10-Q filed August 6, 2026](https://www.sec.gov/Archives/edgar/data/1425205/000110465926091716/iova-20260630x10q.htm). One, now captioned In re: Iovance Biotherapeutics, Inc. Stockholder Litigation, began with a complaint filed on December 11, 2020 by Leo Shumacher over pay for non-executive directors. The other was filed on September 11, 2024 by Northern California Pipe Trades Trust Fund over a February 2024 stock offering. Laborers' District Council and Contractors' Pension Fund of Ohio, called the Ohio fund below, is now the representative plaintiff in that second suit.

Iovance is a nominal defendant in both, meaning the claims are brought on its behalf. The individual defendants are directors. The 10-Q calls them Iovance's "then current directors" in the Shumacher complaint and "certain directors" in the offering suit, and it does not list them by name. It does say the offering plaintiff added one more director defendant on December 5, 2024. Iovance says it intends to defend both vigorously.

## The case

The Shumacher complaint alleges breach of fiduciary duty and unjust enrichment in connection with alleged excessive compensation of certain non-executive directors. It seeks unspecified damages on behalf of Iovance. The offering suit alleges breach of fiduciary duty in connection with the February 2024 underwritten public offering of 23,014,000 shares of Iovance common stock.

## Defendants

Iovance is named as nominal defendant in both suits. For the individual defendants the 10-Q gives no names, so here are the directors shown in Iovance's own reports nearest to each filing date.

For the Shumacher complaint, the nearest annual report, Iovance's [10-K filed February 25, 2021](https://www.sec.gov/Archives/edgar/data/1425205/000155837021001858/iova-20201231x10k.htm), was signed by seven directors: Maria Fardis, who was also chief executive officer, Merrill A. McPeak, Michael Weiser, Ryan D. Maynard, Iain Dukes, Wayne Rothbaum and Athena Countouriotis.

For the offering suit, Iovance's [proxy statement filed April 29, 2024](https://www.sec.gov/Archives/edgar/data/1425205/000155837024006148/iova-20240611xdef14a.htm) nominated seven directors for election: Iain Dukes, Athena Countouriotis, Ryan Maynard, Wayne P. Rothbaum, Frederick G. Vogt, Michael Weiser and Wendy Yarno. The filings do not say which of these people are defendants.

## Where it stands

In the Shumacher matter, the parties submitted a proposed settlement to the court on June 15, 2022. After a hearing on November 17, 2022 the court required more steps before it would approve it. The defendants answered on February 3, 2023, and a revised settlement went to the court on March 12, 2024. On January 17, 2025 a non-party stockholder that objected to the revised settlement, The Paul Berger Revocable Trust, filed its own derivative complaint. On May 29, 2025 the court consolidated the cases and made the Trust lead plaintiff. A consolidated complaint followed on September 2, 2025. The defendants moved to dismiss certain claims on November 24, 2025, and the plaintiff's response will be filed after certain discovery issues are resolved.

In the offering suit, the defendants moved to dismiss on November 22, 2024 and again, after the amended complaint, on January 10, 2025. The court approved the substitution of the Ohio fund as plaintiff on February 3, 2025. A second amended complaint was filed on October 22, 2025. The defendants moved to dismiss it on December 12, 2025, the plaintiff opposed on February 11, 2026, and the defendants filed their reply on March 18, 2026. The 10-Q reports no ruling.

## Why it matters to shareholders

The 10-Q gives no loss estimate for either suit. A risk factor in the same filing says the court declined to approve the settlements proposed in 2022 and 2024 and that "The outcome of these and other future litigation is uncertain." Management says it does not believe any pending matter will have a material adverse effect on Iovance's financial position, results of operations or cash flows.

## Related matters

Iovance also faces a consolidated securities class action and derivative suits in the Northern District of California over its fiscal 2025 revenue forecast. In the first of two New York suits brought by Solomon Capital and others, the court clerk entered judgment in Iovance's favor on July 17, 2026, after the Solomon plaintiffs had filed a notice of appeal on April 13, 2026.
