### The offering

Intellia Therapeutics, Inc. filed a preliminary prospectus supplement on April 27, 2026 for a public offering of $150,000,000 of common stock on the Nasdaq Global Market under the symbol NTLA. The last reported sale price on April 23, 2026 was $15.87 per share.

The company priced the deal on April 28, 2026. The final supplement covers 16,744,187 shares at $10.75 per share, or $180,000,010.25 in total at the public price. The underwriting discount is $0.645 per share, and proceeds to the company before expenses are $169,200,009.635. The underwriters were also granted a 30-day option to buy up to 2,511,628 more shares.

### Banks, advisors and counsel

Jefferies LLC, Goldman Sachs & Co. LLC and Citigroup Global Markets Inc. are the representatives of the underwriters and its joint book-running managers.

Jefferies LLC is also the sales agent under an Open Market Sale Agreement dated February 23, 2024, which the company uses for at-the-market sales. The supplement says the company sold 2,612,344 shares under that agreement after December 31, 2025 and before the supplement date, for net proceeds of about $33.6 million.

Goodwin Procter LLP of Boston passes on legal matters for the company, and Latham & Watkins LLP passes on them for the underwriters.

### Cash and dilution

As of March 31, 2026, the company had approximately $517.2 million of cash, cash equivalents and marketable securities. The supplement says that figure is unaudited and may change after the company completes its accounting for the quarter. At December 31, 2025 the company reported about $605.1 million on the same basis.

After the offering, 133,061,247 shares would be outstanding, or 135,572,875 if the underwriters exercise their option in full. Those counts are based on 116,317,060 shares outstanding at December 31, 2025 and exclude the 2,612,344 shares sold under the at-the-market program after that date. The supplement puts immediate dilution to new investors at $4.36 per share, and about 1,300,334 shares are under a 60-day lock-up with the underwriters.

The company estimates net proceeds of about $169.2 million, or about $194.6 million with the option. It says it will use the money to advance the clinical development of its lead programs, prepare for their commercial launch, research and develop other pipeline candidates, and pursue potential acquisitions, as well as for working capital. The company believes the proceeds, existing cash and collaboration funding will cover operating expenses at least into 2028, excluding certain milestone payments, extension fees and strategic uses of capital, and it says it will require additional funding in any event.

### The trial record

The supplement reports topline results from the Phase 3 HAELO study of lonvo-z for hereditary angioedema, with a data cutoff of February 10, 2026 and a median follow-up of 7.5 months. The company says the trial met its primary endpoint. Over the six-month efficacy period, lonvo-z reduced attacks by 87% against placebo, with a mean monthly attack rate of 0.26 compared with 2.10.

The same summary says no serious adverse events were observed in the lonvo-z arm, and that all treatment-emergent adverse events reported were mild or moderate. A single Grade 2 ALT elevation was seen in that arm. Of the lonvo-z patients, 38% were not attack free during the primary observation period; for them the mean attack rate fell 72%. The company has said it plans to submit a Biologics License Application in the second half of 2026 and to launch in the first half of 2027 if approved.

The risk factors also say the FDA has lifted a clinical hold on the investigational new drug applications for the MAGNITUDE and MAGNITUDE-2 Phase 3 trials of nex-z in ATTR amyloidosis. The company says it is resuming those trials, and it warns that its business may be harmed if they are not resumed in a timely manner or if other safety concerns cause further delays.

### Annual results

The annual report on Form 10-K, filed February 26, 2026, reports a 2025 net loss of $412.7 million, down from $519.0 million in 2024. Cash used in operations was $394.7 million in 2025, against $348.9 million in 2024. Research and development expense was $388.9 million in 2025, against $466.3 million in 2024.
