Inovio Pharmaceuticals, Inc. (Nasdaq: [INO](https://aibio.space/companies/inovio-pharmaceuticals/)) said in its [10-Q filed Aug 12, 2026](https://www.sec.gov/Archives/edgar/data/1055726/000105572626000023/ino-20260630.htm) that a purported shareholder class action over its INO-3107 biologics license application is pending in the U.S. District Court for the Eastern District of Pennsylvania. The complaint, Carlson v. Inovio Pharmaceuticals, Inc., Jacqueline Shea, and Peter Kies, was filed on February 6, 2026. It names Inovio, Shea, the chief executive officer, and Kies, the chief financial officer. The 10-Q gives no case number and no class period.

Five derivative complaints followed, four in the same Pennsylvania court and one in the District of Delaware. They name Shea, Kies and seven current directors. On October 6, 2026, Inovio's board adopted a bylaw that sets the Delaware Court of Chancery as the exclusive forum for derivative actions.

## The case

The class action alleges that Inovio made materially false and misleading statements regarding its submission to the FDA and the FDA's review timeline for the BLA for INO-3107, in violation of certain federal securities laws. The plaintiff seeks unspecified monetary damages on behalf of the putative class, plus costs and expenses, including reasonable attorneys' fees.

The 10-Q describes the regulatory backdrop in the company's own words. In December 2025 the FDA accepted the BLA for review under the accelerated approval program and set a PDUFA target date of October 30, 2026. Inovio also notes a preliminary potential review issue the FDA raised in its file acceptance letter about eligibility for that program.

The first derivative complaint, Shin v. Shea, et al., was filed March 5, 2026. It asserts state and federal claims based on the same alleged misstatements and accuses the board of failing to exercise reasonable and prudent supervision. It seeks unspecified monetary damages on behalf of Inovio and governance reforms. Pepito v. Shea (March 16, 2026), Panes v. Shea (May 1, 2026) and Ghahremani v. Shea (May 27, 2026) make substantially similar claims. Andrews v. Shea, et al. was filed July 22, 2026 in Delaware.

## Defendants

Class action: Inovio Pharmaceuticals, Inc.; Jacqueline Shea, chief executive officer; and Peter Kies, chief financial officer.

Derivative suits: Shea, Kies and seven current directors. The 10-Q does not name the seven. Inovio's 10-K, signed March 12, 2026 after the Shin complaint was filed, lists eight directors: Shea and seven others, Simon X. Benito (chairman), Roger D. Dansey, Ann C. Miller, Jay Shepard, David B. Weiner, Wendy L. Yarno and Lota S. Zoth. That is the board near the time of filing, not a list of defendants.

## Where it stands

In the class action, the court appointed a lead plaintiff and approved the selection of lead counsel on July 27, 2026. The 10-Q does not report a motion to dismiss.

In the derivative cases, the Shin and Pepito plaintiffs agreed on March 23, 2026 to consolidate under the caption In re Inovio Pharmaceuticals, Inc. Derivative Litigation. The Panes and Ghahremani plaintiffs objected. On June 19, 2026, the Shin and Pepito plaintiffs asked the court to defer a decision on consolidation and leadership until after a ruling on any motion to dismiss in the class action. All four plaintiffs agreed to extend the defendants' time to respond. Inovio says it intends to defend all actions vigorously.

The October 6 [8-K](https://www.sec.gov/Archives/edgar/data/1055726/000119312526415555/d127604d8k.htm) reports the new exclusive-forum bylaw. It does not mention the pending suits.

## Why it matters to shareholders

Inovio gives no loss estimate. Its risk factors say these and any future actions "could give rise to substantial damages, which could have a material adverse effect on our financial position, liquidity or results of operations." The 10-Q also says management weighed the class action and derivative complaints when it assessed disclosure controls and found they did not affect effectiveness.

Inovio also has a supply-contract case against VGXI, Inc. and GeneOne Life Science, Inc., set for trial in October 2026.
