## The Nasdaq notice and the cure

Indaptus Therapeutics, Inc. said in an 8-K dated July 16, 2025 that it has regained compliance with the minimum bid price requirement of Nasdaq Listing Rule 5550(a)(2) for continued listing on The Nasdaq Capital Market. Its common stock trades there under the symbol INDP.

The problem began earlier in the year. On January 31, 2025, the company reported that Nasdaq Listing Qualifications had notified it that it was not in compliance with the rule. The notification letter gave the company 180 calendar days, or until July 30, 2025, to regain compliance. On July 14, 2025, the company received a letter from Nasdaq saying that for the 10 consecutive business days from June 27, 2025 to July 11, 2025, the closing bid price of the company's common stock had been at $1.00 per share or greater. Accordingly, the company has regained compliance, and Nasdaq "considers the prior bid price deficiency matter now closed."

The filing is short. It does not give the closing prices during the cure period, and it does not say whether the company took any step, such as a reverse stock split, to lift the price. It also names no further listing conditions. The report was signed by Chief Financial Officer Nir Sassi. The company lists its principal executive offices at 3 Columbus Circle, 15th Floor, New York.

## The finances behind the listing

The company's annual report for 2024, filed on March 13, 2025, shows the cost base behind the listing notice. For the year ended December 31, 2024, the company reported a net loss of $15,022,027, compared with a net loss of $15,423,471 for 2023. The net loss attributable to common stockholders was $1.61 per share on a weighted average of 9,355,710 shares, against $1.83 per share on 8,401,047 shares the year before.

Total operating expenses were $15,365,751 in 2024, down from $16,378,474, a decrease of 6.2%. Research and development expenses were $7,251,097, or approximately $7.2 million, a decrease of approximately 4.9% from approximately $7.6 million. The company attributed the decrease primarily to approximately $1.3 million less spent on developing the manufacturing processes of Decoy20, work that was mainly conducted in 2023. That was offset by an increase of approximately $0.9 million in costs tied to its Phase 1 clinical trial.

General and administrative expenses were $8,114,654, or approximately $8.1 million, a decrease of approximately 7.3% from approximately $8.8 million. Other income, net, which includes interest earned on deposits and investments, fell to $343,724 from $955,003, a drop of 64.0%. The loss from operations was $15,365,751, the same figure as total operating expenses, and the results table shows no revenue line.

## What the company says about costs and funding

The annual report says the company expects its research and development expenses to increase substantially for the foreseeable future as it ramps up clinical development activities and hires additional personnel. It also says it expects general and administrative expenses to rise as it adds headcount and keeps incurring the costs of being a public company, including compliance, director and officer insurance and investor relations.

Research and development expenses consist primarily of fees paid to contract research organizations and contract manufacturing organizations, along with employee compensation and materials. The company says the cost and timing of these activities are highly uncertain and that it is unable to determine with any degree of certainty the duration and completion costs of its projects, or whether, when or to what extent it will generate revenue from any product candidate that wins regulatory approval. In its words, "We may never succeed in achieving regulatory approval for any of our product candidates."

The report also says that inflation and interest rates have negatively affected the global financial markets and may reduce the company's ability to access capital, and that this could hurt its short-term and long-term liquidity. Regaining compliance removes the immediate threat of a delisting from Nasdaq. It does not change the cost picture above, in which spending of this size continues without product revenue.
