ICON plc (Nasdaq: [ICLR](https://aibio.space/companies/icon/)) announced on August 4, 2026 that a wholly owned subsidiary, ICON Investments Six Designated Activity Company, intended to offer one or more series of senior notes in a private offering. ICON plc would guarantee the notes on a senior unsecured basis. A second release in the same Form 6-K, dated August 6, 2026, announced that the subsidiary had priced three series of senior unsecured notes totaling about two billion dollars, with closing expected a week later.

The company said the net proceeds are intended to repay all outstanding borrowings under the bridge secured credit facility of ICON Global Treasury Unlimited Company. They would also repay all outstanding term loans under ICON's senior secured term loan facility and redeem in full the subsidiary's 5.809% Senior Secured Notes due 2027.

According to the releases, once the bridge facility and existing term loans are repaid, the collateral securing ICON's revolving credit facility and the group's existing notes would be released automatically. The subsidiary guarantees under the existing notes would also be released.

The notes are offered to persons reasonably believed to be qualified institutional buyers under Rule 144A and outside the United States under Regulation S. They have not been registered under the Securities Act. Neither release names an underwriter, initial purchaser, placement agent or advisor.
