The picture shows the field, not the companies named.* Iambic Therapeutics, Inc. priced its initial public offering at $16.00 per share, according to a prospectus dated October 14, 2026 and filed on October 15, 2026. The San Diego company is offering 9,375,000 shares of common stock. Before the offering there was no public market for the shares, and they have been approved for listing on The Nasdaq Global Select Market under the symbol IAM. ## Pricing and underwriters At the offering price the deal totals $150,000,000 before costs. Underwriting discounts and commissions are $10,500,000, or $1.12 per share, which leaves $139,500,000 of proceeds to Iambic before expenses, or $14.88 per share. The company estimates net proceeds of about $135.0 million, or about $155.9 million if the underwriters exercise their option in full. The option runs for 30 days and covers up to 1,406,250 additional shares. The cover names J.P. Morgan, Jefferies, BofA Securities and Citigroup as underwriters. It does not say which of them is lead or sole book-runner. The underwriters expect to deliver the shares on or about October 16, 2026. The cover and summary name no law firm for the company or the underwriters. ## Demand, dilution and the notes ARK Investment Management LLC, an existing investor, and Duquesne Family Office LLC have indicated interest in buying up to $60.0 million of shares at the IPO price, on the same terms as the other buyers. The prospectus says those indications are not binding, so the underwriters could sell those investors more, fewer or no shares. The prospectus puts shares outstanding after the offering at 47,400,796, or 48,807,046 if the option is exercised in full. It also lists 3,272,233 shares issuable on options outstanding as of June 30, 2026, at a weighted-average exercise price of $6.89. Before the offering, Iambic issued $66.5 million of subordinated convertible promissory notes after June 30, 2026. Those notes convert into 4,949,237 shares at the IPO price when the offering closes, together with accrued interest. The prospectus summary does not name the noteholders or any placement agent for the notes. The company says it has raised about $461.8 million in capital from investors, including Catalio and Nexus Ventures, which hold 5% or more of its stock. The risk factors say the company has a limited operating history, has incurred significant losses and negative cash flows, and expects to keep losing money. ## The business and what comes next Iambic describes its platform as combining proprietary artificial intelligence with automated, scalable chemistry and biology experiments. Its named tools include Enchant, a model for predicting preclinical and clinical properties, and NeuralPLexer, a generative model for biomolecules. The company says the platform has not yet led to an approved drug product. The most advanced program, IAM1363, is an oral HER2 inhibitor. As of September 2026 it is in an open-label Phase 1/1b basket trial in patients with advanced HER2-altered solid tumors, and the company anticipates a registrational trial as early as 2027, subject to regulatory feedback. The company believes IAM1363 is the only known HER2 tyrosine kinase inhibitor that binds the inactive conformation of the kinase. The prospectus gives no trial results for it, and the risk factors call the trial early-stage. The filing says the company submitted an investigational new drug application for IAM217, a KIF18A inhibitor, on September 30, 2026, and plans a Phase 1/2 trial subject to clearance. It expects to file for IAM-C1, a dual CDK2 and CDK4 inhibitor, in the fourth quarter of 2026. The company plans to use the net proceeds, together with existing cash, to advance IAM1363, IAM217 and IAM-C1 in clinical development, with any remainder for working capital and general corporate purposes. It may also use some proceeds for acquisitions, and it has no agreements for any such deal. The next dated steps are the IAM-C1 filing in the fourth quarter of 2026 and the registrational trial plan for 2027.
