HCW Biologics (Nasdaq: [HCWB](https://aibio.space/companies/hcw-biologics/)) is a defendant in a consolidated lien foreclosure case over renovation work at its Miramar, Florida property, according to its [10-Q filed August 14, 2026](https://www.sec.gov/Archives/edgar/data/1828673/000149315226038262/form10-q.htm). BE&K Building Group, LLC sued the company in the Circuit Court of the 17th Judicial Circuit in Broward County, Florida. The company received the summons and complaint on April 17, 2025. The 10-Q gives no case number.

The defendants named in the filing are HCW Biologics Inc. and Cogent Bank, the lender on the property, plus subcontractors including Fisk Electric Company. A second suit by Fisk, now consolidated, names HCW, BE&K and the other BE&K defendants. The 10-Q says the court has set the matter for a five-day jury trial in December 2026, with a pretrial conference on November 20, 2026.

## The case

The BE&K complaint alleges lien foreclosure and breach of contract. The matter grew out of mechanics liens that subcontractors filed over unpaid invoices for construction and renovation work on a property HCW owns, which is being renovated for future office and laboratory use. Some subcontractors named as defendants filed counterclaims and cross-claims in response.

On April 28, 2025, the company received a second complaint, filed by Fisk Electric Company, a defendant in the BE&K case. It is directed against HCW, BE&K and the other defendants in the BE&K complaint. The cases have been consolidated. These are allegations in private commercial litigation, and the 10-Q does not describe any ruling on the merits.

## Defendants

The 10-Q names these defendants in the BE&K case: HCW Biologics Inc., Cogent Bank and subcontractors, including Fisk Electric Company. B&I Contractors, Inc. also filed cross-claims in the matter. In the Fisk case the defendants are HCW, BE&K and the other defendants in the BE&K complaint. The 10-Q names no individual defendants and does not list the other subcontractors. Of Cogent Bank it says that, to the company's knowledge, the bank "has not elected to take legal action at this time."

## Where it stands

The remaining parties are engaged in discovery. On June 26, 2026 HCW received notice that B&I had filed a voluntary dismissal with prejudice of its cross-claims, as part of a settlement. B&I also filed a final satisfaction of lien releasing a lien of approximately $1.1 million. The 10-Q says there was no gain or loss on that settlement.

The 10-Q says $2.2 million remained owed to BE&K and others who filed liens at June 30, 2026, included in accounts payable. In the notes the company says it "intends to settle these claims prior to the pre-trial hearing."

## Why it matters to shareholders

The liens bear on HCW's mortgage loan. HCW borrowed $6.5 million from Cogent Bank in August 2022 to purchase the property, and $6.1 million in principal was outstanding at June 30, 2026. On October 24, 2025, Cogent Bank exercised its discretion to demand that HCW cure the defaults within 30 days by clearing the liens and getting the foreclosure actions dismissed. HCW and the bank are negotiating a forbearance agreement. The company reports the loan as short-term debt. It says it is in compliance with its covenants on current principal, interest, property taxes and insurance.

HCW's 10-Q also says the company has cumulative net losses of $107.5 million and that conditions raise substantial doubt about its ability to continue as a going concern.

## Related matters

HCW and its founder and chief executive officer, Hing C. Wong, settled an arbitration with Altor BioScience, NantCell and ImmunityBio as of July 13, 2024, and the arbitration and related complaint were dismissed with prejudice in December 2024. On December 30, 2025, HCW, Wong and the law firm Cooley LLP agreed to settle a $7.5 million legal fee obligation for $2.0 million in cash plus contingent payments of up to $5.5 million. HCW recorded a $5.4 million liability for fees still owed at June 30, 2026.
