GT Biopharma, Inc. (Nasdaq: [GTBP](https://aibio.space/companies/gt-biopharma/)) received a Nasdaq minimum bid price deficiency letter on November 20, 2025. The letter says the company's common stock closed below $1 per share for 30 consecutive business days. The company reported the letter in a [Form 8-K](https://www.sec.gov/Archives/edgar/data/109657/000149315225025162/form8-k.htm) filed November 26, 2025. The stock continues to trade on The Nasdaq Capital Market under the symbol "GTBP," subject to the company meeting the other listing requirements.

## The compliance period

The letter came from the Nasdaq Listing Qualifications Staff and cites Nasdaq Listing Rule 5550(a)(2), which sets the $1 minimum bid price for continued listing. Under Nasdaq Listing Rule 5810(c)(3)(A), the company received 180 calendar days from the date of the letter, until May 19, 2026, to regain compliance. To do so, the closing bid price must be at least $1.00 for a minimum of ten consecutive business days within that period. Nasdaq staff may use its discretion to extend the ten-day test under Rule 5810(c)(3)(H).

If the company does not regain compliance in time, it may be eligible for a second 180-day period. That requires it to meet the market value of publicly held shares requirement and the other initial listing standards for the Nasdaq Capital Market, apart from the bid price test. The company must also tell Nasdaq it intends to cure the deficiency with a reverse stock split, if necessary. If Nasdaq finds the company ineligible for a second period, or unable to cure the deficiency in time, the stock will be subject to delisting.

The company says it intends to monitor the closing bid price and assess its options to regain compliance and stay listed. It adds that there can be no assurance it will regain compliance or meet other Nasdaq listing rules.

## The finances behind the listing

The [annual report on Form 10-K](https://www.sec.gov/Archives/edgar/data/109657/000149315225007908/form10-k.htm), filed February 21, 2025, reports a net loss of $13.2 million for 2024. It says the company's financial condition raises substantial doubt about its ability to continue as a going concern. At December 31, 2024, it had approximately $4.0 million in cash, cash equivalents and restricted cash, and a working capital deficit of $1.7 million. The accumulated deficit was approximately $695 million, against year-end cash that was small by comparison.

The 8-K does not update those year-end figures.

## The pipeline

The company describes itself as a clinical-stage biopharmaceutical company developing immuno-oncology products based on its Tri-specific Killer Engager (TriKE) and Tetra-specific Killer Engager (Dual Targeting TriKE) platforms. These are designed to direct a patient's own natural killer cells against tumor antigens, including B7-H3, HER2, CD33 and PDL1. The company says its work was first conducted with the Masonic Cancer Center at the University of Minnesota, under a program led by Dr. Jeffrey Miller, who also serves as its consulting senior medical director.

The first TriKE candidate, GTB-3550, had its clinical development suspended so the company could focus on second-generation TriKEs. The company says the platform is potentially safer than T-cell immunotherapy because it causes less cytokine release syndrome, a claim the company makes itself.

## What the notice leaves out

The 8-K does not restate the company's current cash, its debt or any financing plan, and it does not give the closing bid prices behind the notice. A reverse stock split, which the company would use if necessary, changes the share count but not the company's cash or losses.
